LEGAL CLIENT ACKNOWLEDGMENT FORM

This Legal Client Acknowledgment Form is made effective as of Date: by and between Client Name: whose primary address is and Legal Representative: on behalf of Firm Name: with principal address .

RECITALS

WHEREAS, Client desires that Firm provide legal services as described in the engagement communications between the parties and any written engagement letter executed by the parties; and

WHEREAS, Firm is willing to represent Client subject to the terms and conditions set forth in this Acknowledgment, including provisions regarding scope, fees, confidentiality, and termination; and

WHEREAS, the parties intend by this instrument to set forth Client's acknowledgments and certain administrative consents necessary for Firm to begin or continue representation.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

1. SCOPE OF ENGAGEMENT

1.1 The scope of Firm's representation of Client will be limited to the matters expressly described in the engagement letter or other writing executed by the parties. Client acknowledges that no other services are included unless agreed in writing.

1.2 Firm shall have authority to take such actions on behalf of Client as are reasonably necessary to carry out the scope of engagement, subject to Client's directions and applicable law.

2. CLIENT ACKNOWLEDGMENTS

2.1 Client acknowledges receipt of any written engagement letter, fee schedule, and conflict disclosure provided by Firm and agrees to the terms contained therein. Client further acknowledges responsibility for all fees and costs incurred in the representation as set forth in the engagement letter.

2.2 Client represents and warrants that all information provided to Firm is true, complete and not misleading. Client agrees to promptly update Firm of any material changes to such information and to cooperate fully with Firm in the representation.

3. CONFIDENTIALITY AND ATTORNEY-CLIENT PRIVILEGE

3.1 Communications between Client and Firm are subject to the attorney-client privilege and other protections where applicable. Client acknowledges that privilege may be waived by Client's disclosure of privileged communications to third parties or by operation of law.

3.2 Firm may disclose confidential information when required by law, court order, or to establish a claim or defense on behalf of Firm, including the defense of fee disputes, subject to applicable ethical rules.

4. CONFLICTS OF INTEREST

4.1 Client confirms that Firm has disclosed any known potential conflicts of interest and that Client has had the opportunity to review such disclosures. To the extent a conflict exists that Client is willing to waive, Client executes any separate conflict waiver required by Firm.

5. FEES, BILLING, AND RETAINERS

5.1 Client acknowledges the fee arrangement described in the engagement letter, including hourly rates, flat fees or contingency terms as applicable, and agrees to pay all amounts when due. Client is responsible for costs and expenses incurred in the representation unless otherwise stated.

6. CLIENT RESPONSIBILITIES

6.1 Client shall provide timely, accurate information and cooperate with Firm in all matters related to the representation. Client shall promptly notify Firm of any change in contact information or circumstances that may affect the representation.

7. RECORDS AND DOCUMENT RETENTION

7.1 Firm may maintain file materials in paper or electronic form. Upon termination of representation, Firm may, after reasonable notice, destroy or otherwise dispose of closed-file materials in accordance with Firm's document retention policies and applicable law. Client may request transfer of files subject to payment of outstanding balances and reasonable copying charges.

8. TERMINATION

8.1 Either party may terminate the representation at any time on reasonable notice to the other. Termination shall not relieve Client of the obligation to pay fees and costs incurred prior to termination, and Firm may take steps to protect its interests consistent with ethical obligations.

9. LIMITATION OF LIABILITY

9.1 Except to the extent prohibited by law, Firm's liability to Client for claims arising out of the representation is limited to direct damages up to the total fees paid by Client to Firm for the specific matter giving rise to the claim. This limitation shall not apply to liability resulting from willful misconduct or gross negligence.

10. NOTICES

10.1 Any notices required or permitted under this Acknowledgment shall be in writing and shall be deemed given when delivered personally, sent by certified mail, postage prepaid, return receipt requested, or by nationally recognized overnight courier, to the addresses set forth below or to such other address as a party may designate by notice.

11. AMENDMENTS AND WAIVER

11.1 No amendment, modification or waiver of any provision of this Acknowledgment shall be effective unless made in writing and signed by both parties. No failure or delay by either party in exercising any right shall operate as a waiver of that right.

12. GOVERNING LAW

12.1 This Acknowledgment shall be construed in accordance with and governed by the laws of the state whose courts will have jurisdiction as set forth in the engagement letter. The parties submit to the exclusive jurisdiction of such courts for disputes arising out of this Acknowledgment.

13. ENTIRE AGREEMENT

13.1 This Acknowledgment, together with any executed engagement letter and related fee agreements, constitutes the entire agreement between the parties with respect to the matters addressed herein and supersedes all prior and contemporaneous agreements and understandings, whether oral or written.

14. SEVERABILITY

14.1 If any provision of this Acknowledgment is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect and shall be construed so as to effectuate the intent of the parties as nearly as possible.

15. COUNTERPARTS

15.1 This Acknowledgment may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument.
