LEGAL CLIENT CARE AGREEMENT

This Legal Client Care Agreement (the Agreement) is made effective as of , by and between Client Name: (the "Client") and Law Firm Name: (the "Firm" or "Attorney"). Client Address: Firm Address: .

RECITALS

WHEREAS, Client seeks legal representation and advice in connection with the matter described in Section 2 below; and

WHEREAS, Firm is duly admitted to practice law and agrees to provide legal services to Client subject to the terms and conditions set forth in this Agreement; and

WHEREAS, the parties desire to set forth their respective duties, fee arrangements, and expectations to avoid misunderstandings.

NOW, THEREFORE, in consideration of the mutual promises contained herein, the parties agree as follows:

1. ENGAGEMENT

Client hereby retains Firm to provide legal services and Firm accepts such engagement subject to the terms of this Agreement. Firm will act on Client's behalf in the matter(s) described in Section 2 and in related matters only if agreed in writing.

2. SCOPE OF REPRESENTATION

Firm will provide legal services related to the following matter(s):

Any services beyond the scope described above will require a written amendment to this Agreement or a separate engagement letter.

3. FEES, RETAINER AND BILLING

Client agrees to pay Firm according to the fee arrangement selected below. Select applicable fee structure(s) and complete the amounts.

Firm will render written invoices describing services performed, timekeepers, rates, expenses incurred, and balance due. Client agrees to pay invoiced amounts within of invoice date. Overdue balances may accrue interest at a rate of or the maximum rate permitted by law.

4. TRUST ACCOUNT; RETAINER ADMINISTRATION

Retainer funds paid by Client shall be held in Firm's client trust account and applied to fees and costs as earned and incurred. Client authorizes Firm to withdraw from the trust account when fees are earned in accordance with applicable rules of professional conduct. Client will receive periodic trust accounting statements upon request or when disbursements are made from the retainer.

5. CONFLICTS OF INTEREST

Firm represents that, to the best of its knowledge after reasonable inquiry, there are no conflicts that would prevent Firm from representing Client in the matter described. If a conflict is discovered, Firm will disclose it to Client promptly and seek Client's informed consent or take other action as required by applicable ethical rules.

6. CONFIDENTIALITY

Firm shall maintain the confidentiality of Client information consistent with applicable rules of professional conduct and law. Client authorizes Firm to disclose confidential information only as necessary to provide representation, to comply with legal obligations, or as otherwise authorized by Client in writing.

7. CLIENT RESPONSIBILITIES

Client agrees to provide truthful, complete and timely information, to cooperate with Firm, to be available for consultation, and to timely accept or reject reasonable settlements or recommendations. Failure to cooperate may be grounds for withdrawal.

8. FILES; DOCUMENTS; WORK PRODUCT

Unless otherwise agreed, physical and electronic files prepared by Firm are the property of Firm, subject to Client's right to obtain copies. Firm may retain copies of Client files after the conclusion of representation and may destroy files in accordance with Firm's record retention policy unless Client requests delivery of files in writing and arranges for reasonable costs of copying and delivery.

9. TERMINATION; WITHDRAWAL

Either party may terminate this Agreement upon written notice. Firm may withdraw if Client fails to fulfill obligations, acts contrary to Firm's advice, or for other good cause permitted by law. Upon termination, Client remains responsible for fees and costs incurred up to the date of termination and for reasonable wind-up costs.

10. LIMITATION OF LIABILITY

Except to the extent prohibited by applicable law, Firm's liability arising out of this engagement, whether in contract, tort, or otherwise, is limited to direct damages and shall not exceed the total fees paid by Client to Firm under this Agreement. In no event shall Firm be liable for consequential, incidental, punitive, or special damages.

11. INDEMNIFICATION

Client agrees to indemnify and hold harmless Firm and its principals, associates and employees from and against all liabilities, claims, costs, and expenses (including reasonable attorneys' fees) arising from Client's breach of this Agreement, Client's misrepresentations, or Client's intentional misconduct.

12. DISPUTE RESOLUTION

The parties agree that any dispute arising out of this Agreement shall first be submitted to good faith negotiation. If negotiation fails, the parties may agree to mediation. The parties may also agree in writing to binding arbitration administered by a neutral forum. If no agreement is reached, either party may pursue available remedies in court subject to the limitations in this Agreement.

13. NOTICES

All notices under this Agreement shall be in writing and delivered by hand, by certified mail, return receipt requested, or by overnight courier to the addresses set forth below or to such other address as a party may designate in writing.

14. AMENDMENT; WAIVER

This Agreement may be amended only by a written instrument signed by both parties. No waiver of any provision shall be effective unless in writing and signed by the party against whom the waiver is asserted. A waiver of one breach shall not constitute a waiver of any other breach.

15. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its choice of law rules.

16. ENTIRE AGREEMENT

This Agreement, together with any written fee agreement or engagement letters signed by the parties, constitutes the entire agreement between Client and Firm regarding the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether oral or written.

17. SEVERABILITY

If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be severed and the remainder of the Agreement shall continue in full force and effect.

18. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures transmitted by electronic means shall be binding.
