LEGAL CLIENT DOCUMENT

This Legal Client Document (the "Agreement") is entered into as of by and between Client Name: , whose principal place of business or residence is , and Service Provider Name: , located at .

RECITALS

WHEREAS, the Client desires to retain the Provider to perform certain professional services described herein and the Provider has the requisite experience and capacity to provide such services; and

WHEREAS, the parties wish to set forth their respective rights, duties, and obligations with respect to such services; and

WHEREAS, the parties intend that this Agreement govern the relationship between them and that the terms herein be enforceable as written.

NOW, THEREFORE

In consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

1. DEFINITIONS

For purposes of this Agreement, capitalized terms shall have the following meanings: "Confidential Information" means any non-public information disclosed by one party to the other in written, oral or electronic form that is designated as confidential or that reasonably should be understood to be confidential; "Services" means the scope of work described in Section 2 below.

2. SCOPE OF SERVICES

The Provider shall perform the Services described in this Section and in any statement of work executed by the parties. The Services to be provided are:

The Provider shall perform the Services in a timely, professional manner in accordance with industry standards. Any material change in scope shall be documented and agreed in writing as an amendment to this Agreement.

3. TERM AND TERMINATION

This Agreement shall commence on the Effective Date and continue until completion of the Services or until terminated as provided in this Section. Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate for cause if the other party materially breaches this Agreement and fails to cure such breach within days after receipt of written notice specifying the breach.

4. FEES AND PAYMENT

The Client shall pay the Provider the fees set forth below and in any applicable statement of work. Unless otherwise agreed in writing, all fees are due within days of invoice.

Late payments shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by applicable law. The Client shall reimburse the Provider for reasonable out-of-pocket expenses incurred in connection with the Services.

5. CONFIDENTIALITY

Each party shall (a) keep Confidential Information strictly confidential, (b) not disclose Confidential Information to any third party except as expressly permitted by this Agreement, and (c) use Confidential Information solely for the performance of this Agreement. The obligations in this Section shall survive termination for a period of years, except to the extent a longer period is required by law.

Confidential Information does not include information that: (i) is or becomes publicly known through no breach of this Agreement; (ii) was rightfully received from a third party without restriction; or (iii) was already known by the receiving party prior to disclosure as evidenced by written records.

6. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has full power and authority to enter into this Agreement and to perform its obligations. The Provider warrants that the Services will be performed in a professional and workmanlike manner consistent with generally accepted industry standards. EXCEPT FOR THE EXPRESS WARRANTIES SET FORTH IN THIS SECTION, THE PROVIDER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED.

7. LIMITATION OF LIABILITY

EXCEPT FOR LIABILITY ARISING FROM A PARTY'S GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR BREACH OF THE CONFIDENTIALITY OBLIGATIONS HEREIN, IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE OR CONSEQUENTIAL DAMAGES. THE AGGREGATE LIABILITY OF EITHER PARTY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE FEES PAID OR PAYABLE BY THE CLIENT TO THE PROVIDER UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8. INDEMNIFICATION

Each party (the "Indemnifying Party") shall indemnify, defend and hold harmless the other party (the "Indemnified Party") from and against any third-party claims, liabilities, damages and expenses (including reasonable attorneys' fees) to the extent arising out of or resulting from the Indemnifying Party's breach of this Agreement, willful misconduct or negligence.

9. NOTICES

All notices under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as a party may specify by notice in accordance with this Section. Notices are effective upon receipt.

10. AMENDMENT; WAIVER

No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties. No failure or delay by either party in exercising any right shall operate as a waiver of that right.

11. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Facsimile or electronic signatures shall be deemed originals.

12. GOVERNING LAW; SEVERABILITY; ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the laws of the state specified by the parties. The parties agree to submit to the exclusive jurisdiction of the courts located in the governing jurisdiction for any dispute arising out of this Agreement.

If any provision of this Agreement is held to be invalid or unenforceable by a court of competent jurisdiction, the remainder of the Agreement shall remain in full force and effect and the parties shall negotiate in good faith a substitute provision to effect the original intent.

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, understandings and negotiations, whether written or oral.

13. MISCELLANEOUS

The parties acknowledge that they have read and understood this Agreement, that they have had an opportunity to seek independent legal advice, and that they enter into this Agreement voluntarily. The headings in this Agreement are for convenience only and do not affect interpretation.
