RECITALS

WHEREAS, Client desires that Firm prepare, review, revise and deliver certain legal documents described herein and to provide related legal services in connection with such documents; and

WHEREAS, Firm has the capacity and agrees to provide the legal drafting, review and delivery services set forth in this Agreement on the terms and conditions contained herein; and

WHEREAS, the Parties wish to record their mutual covenants and the scope of work in writing.

NOW, THEREFORE, in consideration of the mutual covenants set forth below, the Parties agree as follows:

1. SCOPE OF SERVICES

1.1 Engagement. Firm will prepare, review and deliver the documents described in the Documents Requested field below, and will perform associated legal services reasonably necessary to prepare and finalize those documents (the Services). The Services do not include representation in litigation or regulatory proceedings unless expressly agreed in writing.

2. CLIENT INFORMATION AND REPRESENTATIONS

Client represents that the information supplied to Firm is true, complete and accurate to the best of Client's knowledge and that Client will promptly notify Firm of any material changes.

3. FEES, RETAINER AND BILLING

3.1 Fees. Client agrees to pay Firm the fees set forth below. Unless otherwise stated, fees for preparation and review of documents are exclusive of filing fees, third-party costs, courier charges and applicable taxes, all of which are the Client's responsibility.

3.2 Payment. Payments shall be made in accordance with the Billing and Payment Terms. Overdue payments shall bear interest at the lesser of 1.5% per month or the maximum rate permitted by law.

4. CONFIDENTIALITY

4.1 Confidential Information. Each Party acknowledges that during the course of this Engagement it may receive Confidential Information of the other Party. Confidential Information shall mean non-public information disclosed in connection with this Agreement that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure.

4.2 Use and Disclosure. Each Party shall use Confidential Information solely for the purpose of performing under this Agreement and shall not disclose such information to any third party except as required by law or with the prior written consent of the disclosing Party. Firm's obligations of confidentiality are subject to the ethical duties and exceptions that govern attorneys.

5. DOCUMENTS, OWNERSHIP AND RETENTION

5.1 Ownership. Unless otherwise agreed in writing, Client owns final documents produced for Client. Firm may retain copies of all work product, drafts and communications in accordance with its retention policies.

5.2 Return or Destruction. Upon termination of this Agreement and upon reasonable request, Firm will return to Client original documents and Client materials. Firm may maintain a copy of Client files as required by professional obligations.

6. DELIVERY, REVIEW AND ACCEPTANCE

6.1 Delivery. Firm will deliver drafts and final documents by the delivery method agreed between the Parties. Client shall review delivered materials promptly and shall notify Firm of any requested changes in accordance with the Acceptance Period below.

7. LIMITATION OF LIABILITY

7.1 Except for willful misconduct or gross negligence, Firm's liability to Client for any claim arising out of or related to this Agreement shall be limited to direct damages not to exceed the greater of (a) the fees actually paid by Client to Firm under this Agreement for the Services giving rise to the claim, or (b) the amount specified below.

8. TERM AND TERMINATION

8.1 Term. This Agreement commences on the Effective Date and continues until completion of the Services or earlier termination in accordance with this Section.

8.2 Termination. Either Party may terminate this Agreement upon written notice if the other Party materially breaches any term and fails to cure within the notice period specified below.

9. NOTICES

9.1 All notices, requests and other communications required or permitted under this Agreement shall be in writing and delivered to the addresses or electronic contact information provided below.

10. AMENDMENTS; WAIVER

10.1 Amendments. This Agreement may be amended or modified only by a written instrument signed by both Parties.

10.2 Waiver. No waiver of any breach shall be effective unless in writing and signed by the Party granting the waiver. A waiver of any breach shall not constitute a waiver of any subsequent breach.

11. GOVERNING LAW; JURISDICTION

11.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles.

12. ENTIRE AGREEMENT; SEVERABILITY

12.1 Entire Agreement. This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings and agreements, whether written or oral.

12.2 Severability. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be severed and the remaining provisions shall continue in full force and effect.

13. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures provided by electronic image or electronic transmission shall be binding.

ACKNOWLEDGMENT

The undersigned each represent and warrant that they are duly authorized to enter into this Agreement on behalf of the Party for whom they sign and that they have read, understand and agree to be bound by all terms and conditions herein.
