Privilege and Confidentiality: Client represents that all documents and communications produced to Attorney/Firm are provided for the purpose of seeking legal advice or representation and are intended to be privileged and confidential. Client agrees to identify any non-privileged third-party materials at the time of production.

7. REPRESENTATIONS AND CERTIFICATIONS

Client hereby represents and certifies under penalty of perjury that: (a) the facts set forth in this Form are true, complete and accurate to the best of Client's knowledge after due inquiry; (b) Client has disclosed all material facts known to Client that could affect the legal analysis, applicable statute of limitations, defenses, or potential conflicts; and (c) Client will promptly supplement this Form in writing if material facts change.

8. FEES, RETAINER AND SCOPE

This Form does not constitute an engagement letter or retainer agreement. Any engagement of Attorney/Firm will be governed by a separate written retainer or engagement letter specifying fees, billing rates, retainers, scope of representation, and conditions of termination. Client acknowledges that Attorney/Firm may decline representation based upon the information provided.

9. NOTICES

All notices required or permitted under this Form shall be in writing and shall be deemed received when delivered personally, by nationally recognized overnight courier, or by the earlier of receipt or refusal of delivery at the addresses provided above.

10. GOVERNING LAW; VENUE

This Form and any interpretation thereof shall be governed by and construed in accordance with the laws of the state specified for the prospective engagement. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for any dispute arising from or relating to Attorney/Firm's engagement.

11. ENTIRE AGREEMENT; AMENDMENTS; SEVERABILITY

This Form constitutes the entire written record of the factual disclosures provided by Client to Attorney/Firm at the time of submission. Any future engagement letter or retainer agreement shall supersede this Form with respect to terms of representation. No amendment or waiver of any provision of this Form shall be effective unless in writing and signed by both parties. If any provision of this Form is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.

12. WAIVER; COUNTERPARTS

No waiver by any party of any breach of this Form shall be deemed a waiver of any subsequent breach. This Form may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures transmitted by electronic means shall be treated as original signatures for all purposes.
