Legal Client Fee Agreement

This Legal Client Fee Agreement (the Agreement) is made as of between Law Firm: with principal office at (Firm), and Client Name: with address at (Client).

RECITALS

WHEREAS, Client desires to retain the Firm to provide legal services in connection with the matter described as: (Matter); and

WHEREAS, the Firm has agreed to provide legal services to Client subject to the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend to set forth their respective rights and obligations regarding fees, costs, and administration of the Matter.

NOW, THEREFORE, in consideration of the mutual promises contained herein, the parties agree as follows:

1. SCOPE OF ENGAGEMENT

1.1 Engagement. The Firm will provide legal services to Client in connection with the Matter and will perform such other services as Client and the Firm may agree in writing. The Firm does not guarantee any particular result and will exercise reasonable professional skill and diligence.

1.2 Exclusions. Services not expressly set forth in this Agreement are excluded unless agreed in writing. The Firm may, with Client's consent, engage third-party consultants when reasonably necessary; such costs are chargeable to Client pursuant to Section 3.

2. FEES AND BILLING

2.1 Hourly Rates. Client agrees to compensate the Firm at the hourly rates set forth for attorneys and staff. Primary attorney hourly rate: $ per hour. Associate rate (if applicable): $ per hour.

2.2 Retainer. Client shall pay an initial retainer in the amount of $ to be held in the Firm's trust account and applied against fees and costs. Retainer due date: . The retainer is refundable in accordance with Rule-compliant trust accounting and after full accounting of accrued fees and expenses.

2.3 Billing, Payment and Interest. The Firm will render statements monthly (or at intervals otherwise agreed) showing fees, costs, payments, and the balance owing. Statements are due within days of receipt. Unpaid balances shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law.

2.4 Costs and Expenses. Client shall reimburse the Firm for out-of-pocket expenses incurred on Client's behalf, including but not limited to filing fees, expert fees, deposition and transcript costs, travel, courier and copying charges. Anticipated significant costs will be identified in advance when practicable.

3. TRUST ACCOUNT AND RETAINER HANDLING

3.1 Trust Account. Funds paid as a retainer shall be deposited into the Firm's trust account and will be withdrawn and applied to fees and expenses as billed. The Firm shall provide a statement of account upon request and upon termination of representation.

3.2 Replenishment. Client agrees to replenish the retainer upon notice when the trust balance is insufficient to cover current charges. Failure to timely replenish the retainer may result in suspension or termination of services.

4. CONFLICTS AND CONSENT

4.1 Conflicts. The Firm has conducted a conflicts check based on the information provided by Client. To the extent a conflict arises, the Firm will notify Client promptly. By signing, Client represents that Client has disclosed all relevant parties and matters of which Client is aware that may reasonably give rise to a conflict.

4.2 Joint Representation Waiver (if applicable): Client consents to the Firm's representation of multiple clients in related matters, subject to the Firm's professional obligations and any required written conflict waivers.

5. CLIENT RESPONSIBILITIES

Client agrees to cooperate with the Firm, provide truthful and complete information, execute documents as requested, attend meetings and hearings as necessary, and to notify the Firm of any changes in contact information or circumstances material to the Matter.

6. TERMINATION

Either party may terminate this Agreement upon written notice. Upon termination, Client shall remain responsible for all fees and costs incurred through the effective date of termination and for reasonable wind-up costs. The Firm shall take reasonable steps to protect Client's interests during any transition, subject to receipt of outstanding fees and compliance with ethical obligations.

7. CONFIDENTIALITY AND PRIVILEGE

All communications between Client and the Firm in the course of representation are confidential and subject to the attorney-client privilege to the fullest extent permitted by law. The Firm will not disclose confidential information without Client's consent except as authorized or required by law or to collect outstanding fees.

8. FILES AND RECORDS

The Firm will maintain a file for the Matter. Original physical documents will be returned upon request and payment of outstanding charges unless otherwise agreed. Electronic copies may be retained by the Firm. Unless Client requests transfer or return, the Firm may destroy closed files in accordance with the Firm's records retention policy after providing notice where required by applicable rules.

9. DISPUTE RESOLUTION

The parties shall first attempt in good faith to resolve any fee or other dispute by negotiation. If unresolved within 30 days, the dispute shall be submitted to: . Each party retains the right to seek interim relief in a court of competent jurisdiction where necessary to preserve rights.

10. NOTICES

Notices shall be in writing and delivered by hand, certified mail, or overnight courier, or by electronic mail when followed by physical notice where required by law. Notices are effective upon receipt.

11. GOVERNING LAW; ENFORCEMENT

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of law principles. The prevailing party in any enforcement action shall be entitled to recover reasonable attorneys' fees and costs.

12. ENTIRE AGREEMENT; AMENDMENT; SEVERABILITY

This Agreement constitutes the entire agreement between the parties concerning its subject matter and supersedes all prior understandings. Any amendment must be in writing signed by both parties. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13. WAIVER; COUNTERPARTS

The failure of either party to enforce any provision of this Agreement shall not constitute a waiver of future enforcement of that or any other provision. This Agreement may be executed in counterparts, each of which shall be deemed an original, and facsimile or electronic signatures shall be binding.

14. ADDITIONAL PROVISIONS

The parties acknowledge that they have read and understand this Agreement and that they enter into it voluntarily and with the authority to bind their respective principals.
