LEGAL CLIENT FORM

Recitals

WHEREAS, Client desires to engage the Law Firm to provide legal services in connection with the matters described in Section 2 below; and

WHEREAS, Law Firm represents that it is duly licensed, competent, and available to perform the requested legal services and that it will comply with the applicable rules of professional conduct; and

WHEREAS, the parties wish to set forth the terms under which Law Firm will represent Client.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

1. Engagement

Client hereby engages Law Firm to provide legal services and representation as set forth in this Agreement, and Law Firm accepts such engagement subject to the terms and conditions herein. The engagement is limited to the matters described in Section 2 and does not create an obligation to pursue appeals, enforcement actions, or unrelated matters unless specifically agreed in writing.

2. Scope of Services

Law Firm will perform the legal services described below. Services outside this scope will require a written amendment and may be billed separately.

3. Fees, Retainer and Billing

Client agrees to pay Law Firm fees as described below. Fees are earned when services are performed and are payable in accordance with the payment terms described herein.

4. Client Responsibilities

Client shall provide all information, documents and cooperation reasonably required by Law Firm to perform the services. Failure to cooperate or to provide timely instructions may result in withdrawal or termination of representation and continued responsibility for fees and costs incurred through termination.

5. Confidentiality

Law Firm will maintain in confidence all information received from Client concerning the subject matter of the representation except as authorized by Client or as required by law or the rules of professional conduct. Client consents to disclosure of otherwise confidential information to necessary outside consultants, provided such consultants are bound to maintain confidentiality.

6. Conflicts of Interest

Law Firm has conducted a conflicts check based on the information provided by Client. Client affirms that it has disclosed all known potential conflicts. If a conflict is later discovered that materially affects Law Firm's ability to represent Client, Law Firm will notify Client and may withdraw in accordance with professional obligations.

7. Records; File Retention

Client authorizes Law Firm to retain the file in electronic or hard copy form. Law Firm may destroy closed files after a reasonable retention period. Upon request and subject to outstanding fees, Law Firm will provide Client with original documents belonging to Client.

8. Term and Termination

This Agreement begins on the Effective Date and continues until completion of the services or earlier termination by either party upon written notice. Termination does not relieve Client of the obligation to pay fees and costs incurred prior to termination, and Law Firm may take reasonable steps to protect its files and rights.

9. Indemnification and Limitation of Liability

Client agrees to indemnify and hold harmless Law Firm and its partners, associates and employees from liabilities arising from Client's failure to provide accurate information or to comply with this Agreement. Except for willful misconduct or gross negligence, Law Firm's liability to Client for any claim arising out of this engagement shall be limited to the amount of fees paid by Client to Law Firm for the particular matter.

10. Governing Law; Venue

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below without regard to conflict of laws principles. Any action arising out of this Agreement shall be brought in the state or federal courts located in that jurisdiction.

11. Entire Agreement; Amendments; Severability

This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior agreements and understandings. This Agreement may be amended only by a written instrument executed by both parties. If any provision of this Agreement is held invalid or unenforceable, the remainder of this Agreement shall remain in full force and effect.

12. Notices

All notices required or permitted under this Agreement shall be in writing and delivered personally, by certified mail (return receipt requested), or by courier to the addresses set forth at the beginning of this Agreement or to such other address as a party may designate by written notice.

13. Amendments and Waiver

No modification or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties. Failure to enforce any provision shall not constitute a waiver of that provision or any other provision of this Agreement.

14. Counterparts

This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Facsimile or electronic signatures shall be binding for all purposes.
