LEGAL CLIENT INTAKE FORM

This Legal Client Intake Form (the "Agreement") is entered into on Engagement Date: by and between Client Name: (the "Client") and Law Firm Name: (the "Firm").

RECITALS

WHEREAS, the Client seeks legal representation and advice concerning the matter described as:

WHEREAS, the Firm has the capacity and willingness to represent the Client in the matter described above under the terms and conditions set forth in this Agreement.

WHEREAS, the parties desire to set forth their respective obligations, fee arrangements, and communications protocols in writing.

NOW, THEREFORE, in consideration of the mutual promises contained herein, the parties agree as follows.

1. ENGAGEMENT; SCOPE OF SERVICES

The Firm shall provide legal services reasonably necessary to represent the Client with respect to the matter described above. The scope includes legal advice, drafting of documents, correspondence, negotiations, and appearances as agreed. Services outside the scope require written amendment to this Agreement.

The Client represents that the information provided to the Firm is complete and accurate to the best of the Client’s knowledge and that the Client has authority to engage the Firm. The Client agrees to notify the Firm promptly of any material change in circumstances.

4. FEES, BILLING AND EXPENSES

Unless otherwise agreed in writing, the Firm will bill hourly for time spent at the rate of $ per hour for attorneys and $ per hour for support staff. Time is billed in increments of one-tenth (0.1) hour. The Client is responsible for all out-of-pocket expenses reasonably incurred by the Firm, including filing fees, courier fees, expert fees, deposition costs, travel, and other third-party costs.

5. RETAINER AND TRUST ACCOUNT

The Client shall deliver an initial retainer deposit of $ to be held in the Firm’s trust account. Retainer funds will be applied against fees and expenses as billed. The Firm will provide periodic statements indicating application of retainer funds. Unused retainer funds, if any, will be returned to the Client upon conclusion of the matter after final accounting.

6. DOCUMENTS AND RECORDS

Subject to applicable law and ethical obligations, the Firm will retain the Client’s file for a reasonable period following conclusion of representation. Upon written request and after payment of outstanding charges, the Firm will deliver original documents to the Client and may retain copies for its records.

7. CLIENT RESPONSIBILITIES

The Client shall cooperate with the Firm, provide complete and accurate information, attend meetings, and promptly respond to requests. Failure to cooperate may result in withdrawal by the Firm and continued responsibility for fees and expenses.

8. TERMINATION

Either party may terminate the representation upon written notice. The Client remains responsible for fees and expenses incurred through the date of termination. Upon termination, the Firm will take reasonable steps to protect the Client’s interests consistent with professional obligations.

10. AMENDMENTS; WAIVER

No amendment or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties. A waiver of any breach shall not constitute a waiver of any other or subsequent breach.

11. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Firm maintains its principal office. This Agreement constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior understandings. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

12. ADDITIONAL PROVISIONS

The Client authorizes the Firm to obtain pertinent records and to engage third-party service providers as necessary, with costs billed to the Client. The Client consents to electronic delivery of invoices and certain communications unless otherwise requested in writing.
