LEGAL CLIENT LETTER

This Legal Client Letter (the "Letter") is entered into as of Day: Month: Year: by and between Law Firm Name: and Client Name: (collectively, the "Parties").

RECITALS

WHEREAS, Client has requested that Law Firm provide legal services in connection with the matter described as: (the "Matter");

WHEREAS, Law Firm has agreed to provide such legal services on the terms and conditions set forth in this Letter; and

WHEREAS, the Parties wish to confirm their mutual understanding regarding scope, fees, responsibilities and other terms applicable to the engagement.

NOW THEREFORE, in consideration of the mutual covenants and agreements contained herein, the Parties agree as follows:

1. ENGAGEMENT AND SCOPE OF SERVICES

1.1 Engagement. Law Firm agrees to provide legal services to Client in connection with the Matter. Services will include legal advice, document preparation, negotiation and representation as agreed in writing. Services explicitly do not include any services not described herein unless otherwise agreed in writing.

1.2 Change of Scope. Any change to the scope of services must be mutually agreed in writing and may result in adjustment to fees or scheduling.

2. FEES, RETAINER AND BILLING

2.1 Hourly Rates. Services will be billed at the following hourly rates: Primary Attorney: per hour; Other attorneys and staff as applicable will be billed at rates commensurate with experience.

2.2 Retainer. Client shall pay an initial retainer in the amount of . The retainer will be held in Law Firm's trust account and applied to fees and expenses as billed.

2.3 Billing and Payment. Law Firm will render statements on a monthly basis showing services performed, hours, fees, and disbursements. Payment is due within days of invoice. Overdue balances may accrue interest at a rate of and may result in suspension of services.

2.4 Expenses. Client shall reimburse Law Firm for reasonable out-of-pocket expenses incurred on Client's behalf, including filing fees, courier charges, expert fees, travel, and other necessary expenses.

3. CLIENT COOPERATION AND RESPONSIBILITIES

Client agrees to provide timely, accurate information, documents and cooperation as reasonably requested by Law Firm. Failure to cooperate may result in termination of the engagement and Client remains responsible for fees and expenses incurred through termination.

4. CONFLICTS, CONFIDENTIALITY AND DOCUMENT RETENTION

4.1 Conflicts. Law Firm has performed a conflicts check based on information provided by Client. If a material conflict arises that cannot be waived, Law Firm may withdraw or decline to represent Client. Client will provide complete disclosure of all parties and related matters.

4.2 Confidentiality. Law Firm shall maintain the confidentiality of Client information as required by applicable rules of professional conduct, except as otherwise permitted or required by law. Client consents to internal disclosure to those within Law Firm who have a need to know.

4.3 Document Retention. Upon conclusion of the engagement, Law Firm will retain Client files and documents for a reasonable period and may dispose of them in accordance with Law Firm's retention policy unless Client requests delivery of originals in writing and arranges for retrieval.

5. TERMINATION

Either Party may terminate this engagement upon written notice. Upon termination, Client shall promptly pay for all fees and expenses incurred through the date of termination. Law Firm may take reasonable steps to protect its interests, including seeking a court order for withdrawal if required by applicable rules.

6. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Law Firm's liability for claims arising from this engagement shall be limited to direct damages up to the total fees paid by Client to Law Firm under this Letter. Neither Party shall be liable for incidental, consequential or punitive damages except to the extent required by law.

7. DISPUTE RESOLUTION

The Parties shall attempt in good faith to resolve disputes arising under this Letter by negotiation. If unresolved, the Parties agree to submit the dispute to mediation prior to filing any court action. Nothing in this paragraph shall preclude a Party from seeking equitable relief when appropriate.

8. NOTICES

Notices shall be in writing and delivered by hand, nationally recognized courier, certified mail or other agreed method to the addresses set forth above or to such other address as a Party may designate in writing.

9. GOVERNING LAW; VENUE

This Letter shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. Venue for disputes shall be proper in the state or federal courts located within that State.

10. ENTIRE AGREEMENT; SEVERABILITY

This Letter, together with any written engagement schedules or addenda signed by the Parties, constitutes the entire agreement between the Parties regarding the subject matter hereof. If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

11. AMENDMENTS; WAIVER; COUNTERPARTS

Any amendment to this Letter must be in writing and signed by both Parties. A waiver of any breach or right shall not be effective unless in writing. This Letter may be executed in counterparts, each of which shall be deemed an original and all of which together constitute one instrument.
