LEGAL CLIENT PACKET

This Legal Client Packet (the "Agreement") is entered into as of , by and between Law Firm Name: with principal address: (the "Firm"), and Client Name: with address: (the "Client").

RECITALS

WHEREAS, the Client desires to retain the Firm to provide legal services as set forth herein; and

WHEREAS, the Firm is willing to provide legal representation and related services to the Client subject to the terms and conditions of this Agreement; and

WHEREAS, the parties wish to memorialize the scope, fees, responsibilities, and other material terms applicable to the engagement.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. ENGAGEMENT AND SCOPE OF SERVICES

1.1 Engagement. The Client hereby retains the Firm to provide legal services described in the Engagement Description below, and the Firm accepts such engagement on the terms set forth in this Agreement.

2. CLIENT RESPONSIBILITIES

2.1 Cooperation. The Client shall provide the Firm with all documents, information and cooperation reasonably necessary for the Firm to perform the services. The Client certifies that all facts and documentation provided are true, complete and accurate to the best of the Client's knowledge.

2.2 Authority. The Client represents that the undersigned has authority to retain the Firm and to bind the Client to this Agreement.

3. FEES, RETAINER AND BILLING

3.1 Fees. The Firm's fees will be calculated based on the hourly rates and/or fixed fees set forth below. Hourly rates are subject to periodic review and adjustment upon written notice to the Client.

3.2 Billing. The Firm will render periodic invoices describing services performed, time spent, disbursements and other charges. Payment is due within thirty (30) days of invoice. The Client is responsible for all reasonable costs and expenses incurred by the Firm on the Client's behalf.

4. CONFLICTS OF INTEREST

The Firm has performed a conflicts check based on the information provided by the Client. The Client agrees to notify the Firm immediately of any facts or relationships that could give rise to a conflict. The Firm may withdraw from representation if a conflict arises that cannot be resolved in compliance with applicable rules of professional conduct.

5. CONFIDENTIALITY

The Firm will maintain as confidential all information and documents obtained from the Client in connection with the representation, except to the extent disclosure is authorized by the Client or required by law, court order, or the rules of professional conduct. The Client authorizes the Firm to disclose necessary information to third-party vendors where reasonable to carry out representation.

6. FILES AND RECORDS

Upon termination of the engagement, the Firm will deliver the Client's original documents and may retain copies of files. The Firm may dispose of closed file materials in accordance with the Firm's document retention policy, unless the Client provides written instruction to the contrary.

7. TERMINATION

Either party may terminate this Agreement upon written notice to the other. The Client remains responsible for payment of fees and expenses incurred prior to termination and for reasonable costs associated with orderly transfer of the matter.

8. DISPUTE RESOLUTION

Any dispute arising out of or relating to this Agreement or the representation shall be resolved first by good faith negotiation between the parties. If unresolved, disputes shall be submitted to binding arbitration conducted by a neutral arbitrator in the forum selected by the Firm, and the arbitrator's decision shall be final and binding.

9. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by hand, certified mail, overnight courier, or other agreed means.

10. AMENDMENTS; WAIVER

This Agreement may be amended only by a writing signed by both parties. No waiver of any provision shall be effective unless in writing and signed by the party waiving compliance.

11. GOVERNING LAW; SEVERABILITY; ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the substantive laws of the jurisdiction agreed upon by the parties below. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. This Agreement, together with any written engagement letter or fee schedule signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral.

12. ADDITIONAL TERMS

12.1 Electronic Communications: The Client consents to receiving communications, invoices and documents electronically unless otherwise requested in writing.

12.2 Taxes: The Client is responsible for any taxes arising from amounts charged under this Agreement, excluding taxes based on the Firm's net income.
