RECITALS

WHEREAS, the Client desires to retain counsel to evaluate and potentially represent the Client in the matter described in Section 3 below and to provide related legal services; and

All formal notices required under any subsequent engagement agreement or arising from this Questionnaire shall be delivered to the addresses below unless otherwise agreed in writing.

10. AMENDMENTS; WAIVER

This Questionnaire may be amended or supplemented only by a written instrument signed by both parties. No failure or delay by either party in exercising any right shall operate as a waiver of that right unless a written waiver is executed by the waiving party.

11. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

Governing Law: This Questionnaire shall be governed by and construed in accordance with the internal laws of the state governing the Firm's principal office, without regard to its conflict of law principles.

Entire Agreement: This Questionnaire, together with any written engagement letter signed by the parties, constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior communications and representations, whether oral or written.

Severability: If any provision of this Questionnaire is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect and the offending provision shall be reformed only to the minimum extent necessary to make it valid and enforceable.
