LEGAL CLIENT RETAINER AGREEMENT

This Retainer Agreement (the "Agreement") is made and entered into as of Effective Date: by and between Client Name: whose address is , and Attorney/Firm Name: with principal office at .

RECITALS

WHEREAS, Client seeks legal representation and advice in connection with the matter described as: (the "Matter");

WHEREAS, Attorney is duly authorized to practice law and has agreed to provide legal services to Client on the terms set forth in this Agreement;

WHEREAS, the parties desire to set forth their respective rights and obligations concerning the scope, fees, billing and other terms of representation.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. ENGAGEMENT; SCOPE OF SERVICES

Attorney is engaged to provide legal services to Client in connection with the Matter. Attorney's services are limited to those matters expressly described in this Agreement and any subsequent written amendment. Services do not include representation in any appellate matters, unrelated claims, nor representation against conflicts disclosed after the Effective Date unless expressly agreed in writing.

2. FEES, RETAINER AND BILLING

Client shall pay Attorney a retainer in the amount of to be deposited into Attorney's trust or operating account as required by applicable professional rules. The retainer shall be applied against fees and costs as billed.

Bills are due upon receipt and become past due if not paid within days. Past due balances shall accrue interest at the rate of (unless prohibited by law).

3. COSTS AND EXPENSES

Client shall be responsible for all out-of-pocket costs and expenses incurred by Attorney in connection with the Matter, including but not limited to filing fees, process server fees, expert fees, travel expenses, courier charges and deposition costs. Attorney may require an advance deposit for anticipated expenses.

4. CLIENT RESPONSIBILITIES

Client shall cooperate with Attorney, provide all information and documents necessary for Attorney to perform the services, and promptly respond to Attorney's communications. Client warrants that all information provided is truthful and complete to the best of Client's knowledge.

5. CONFLICTS OF INTEREST

Attorney represents no client in a matter adverse to Client at the Effective Date except as disclosed in writing. Client authorizes Attorney to perform a conflicts check. If a conflict is discovered after engagement, Attorney will notify Client and will either withdraw or obtain informed consent as required by applicable professional rules.

6. CONFIDENTIALITY; PRIVILEGE

Attorney shall maintain the confidentiality of information received from Client to the extent required by law and shall assert the attorney-client privilege where applicable. Client authorizes Attorney to disclose confidential information when necessary to carry out representation or as required by law.

7. TERM; TERMINATION

Either party may terminate this Agreement upon written notice. Upon termination, Client shall pay Attorney for all services rendered and costs incurred through the date of termination. Termination does not affect Client's obligation to pay outstanding fees or costs.

8. FILES AND PROPERTY

Upon conclusion of representation and payment of outstanding balances, Attorney will release Client files as required by applicable rules. Attorney may retain copies of files and is entitled to destroy or archive files after a reasonable period.

9. LIMITATION OF LIABILITY

Except for willful misconduct or gross negligence, Attorney's liability to Client arising out of this Agreement shall be limited to fees paid by Client to Attorney for the Matter. Neither party shall be liable for indirect, incidental or consequential damages.

10. DISPUTE RESOLUTION

Any dispute arising under this Agreement shall be submitted first to good faith negotiation. If unresolved within 45 days, the parties agree to submit the dispute to binding arbitration conducted by a neutral arbitrator chosen by the parties, with the arbitrator's decision final and enforceable in any court of competent jurisdiction, unless prohibited by law.

11. NOTICES

All notices under this Agreement shall be in writing and delivered by hand, overnight courier, certified mail (return receipt requested) or by email to the addresses below. Notice is effective upon receipt.

12. AMENDMENT; WAIVER

This Agreement may be amended only by a written instrument signed by both parties. No waiver of any provision shall be effective unless in writing and signed by the waiving party. A waiver of any breach shall not constitute a waiver of any subsequent breach.

13. GOVERNING LAW; SEVERABILITY; ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction in which Attorney maintains its principal office as set forth above, without regard to conflict of laws principles. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. This Agreement constitutes the entire agreement between the parties concerning the Matter and supersedes all prior agreements and understandings, whether written or oral.

14. COUNTERPARTS; ELECTRONIC SIGNATURES

This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Signatures transmitted by electronic means shall have the same effect as original signatures.
