LEGAL CLIENT RIGHTS DOCUMENT

This Legal Client Rights Document (the Agreement) is made effective as of by and between Client Name: and Attorney/Firm Name: .

Recitals

WHEREAS, Client seeks legal representation concerning the matter described as: (the Matter); and

WHEREAS, Attorney has agreed to provide legal services to Client in connection with the Matter, subject to the terms set forth herein and any separate written fee agreement executed by the parties; and

WHEREAS, the parties desire to confirm, in writing, the rights of Client and the obligations of Attorney with respect to the representation.

NOW THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. Scope of Representation

1.1 Attorney will provide legal services for the Matter as described above and in the scope statement below. The scope of representation shall be:

1.2 Any specific services not expressly included in the scope shall require a separate written agreement. Attorney may take such actions as are reasonable and customary to advance the Matter on behalf of Client, subject to Client instructions.

2. Client Rights

2.1 Confidentiality and Privilege. Client has the right to expect that communications between Client and Attorney are confidential and protected by the attorney-client privilege, except as otherwise required by law or to the extent Client waives that privilege in writing.

2.2 Informed Consent. Client has the right to receive reasonable information about the status of the Matter, to be consulted about the means by which objectives are to be pursued, and to make informed decisions regarding the representation. Client shall be informed of material developments in the Matter.

2.3 Access to Files. Client has the right to receive copies of documents reasonably necessary for the Client's interests, except to the extent disclosure would materially jeopardize Attorney's ability to represent Client or would waive privilege. Requests for files will be processed within a reasonable time.

2.4 Termination. Client has the right to discharge Attorney at any time. Upon termination, Client shall remain responsible for fees and costs incurred prior to termination and for a reasonable charge for wind-up of the Matter.

2.5 Non-Discrimination and Professional Conduct. Client has the right to professional, courteous treatment and to raise concerns about the representation without fear of retaliation.

3. Fees, Retainers, and Billing

3.1 Fees. Unless otherwise agreed in a separate fee agreement, Attorney's fees will be billed at the following rate(s): Hourly Rate: $ per hour.

3.2 Retainer and Costs. Client shall pay a retainer in the amount of $. Client is responsible for costs and disbursements (filing fees, process service, expert fees, travel, etc.) incurred on Client's behalf.

3.3 Billing and Payment. Billing statements will be delivered on a basis and are due upon receipt. Disputed items must be identified in writing within thirty (30) days of receipt.

4. Client Obligations

Client shall provide complete and accurate information, cooperate with Attorney, attend scheduled meetings, respond promptly to communications, and fulfill payment obligations. Failure to cooperate may result in withdrawal or termination of representation.

5. Confidentiality and Recordkeeping

Attorney will maintain client files in accordance with professional obligations. Attorney may maintain electronic copies of client files. Retention period: years after conclusion of the Matter, unless a different arrangement is agreed in writing.

6. Conflicts of Interest

Attorney represents that, to the best of Attorney's knowledge, no conflict of interest prevents acceptance of the Matter. Should a conflict arise, Attorney will notify Client promptly and take appropriate steps, which may include withdrawal. Client authorizes Attorney to perform a conflicts check and to disclose any existing or potential conflicts.

7. Termination

Either party may terminate representation upon written notice. Upon termination, Attorney will take reasonable steps to protect Client's interests, including giving Client reasonable notice, surrendering papers and property to which Client is entitled, and refunding any unearned portion of the retainer after accounting for fees and costs.

8. Dispute Resolution

The parties shall attempt in good faith to resolve any disputes arising under this Agreement. If resolution cannot be reached, the dispute shall be resolved by: Selection of forum will be indicated by the parties' initials on a separate writing.

9. Notices

10. Governing Law; Miscellaneous

10.1 Governing Law. This Agreement shall be governed by the laws of the jurisdiction specified: .

10.2 Entire Agreement. This Agreement, together with any separate fee agreement signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior written or oral agreements.

10.3 Severability. If any provision of this Agreement is held invalid or unenforceable, that provision shall be severed and the remainder of the Agreement shall remain in full force and effect.

10.4 Amendments and Waiver. No amendment or waiver of any provision of this Agreement is effective unless in writing and signed by both parties. The failure of a party to enforce any right shall not constitute a waiver of that right.

10.5 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument.
