What a Legal Client Rights Statement Is

A Legal Client Rights Statement is a document that informs a client about their rights and the attorney's obligations at the start of an engagement. It typically summarizes scope of representation, fee arrangements, confidentiality, dispute resolution, and how the client may consent to electronic records or signatures. The statement helps create clear expectations, supports informed consent, and serves as a record that the client received required disclosures before work begins.

Why this Statement Matters for Clients and Firms

The statement promotes transparency, reduces misunderstandings, and documents client consent for key matters such as fees, confidentiality, and electronic record delivery under ESIGN and state law.

Why this Statement Matters for Clients and Firms

Who Typically Prepares or Receives This Statement

Common senders include law firms, in-house legal teams, and legal aid organizations initiating client engagements.

  • Small and mid-size law firms onboarding new clients and documenting consent during intake.
  • Corporate legal departments issuing engagement terms to outside counsel or internal stakeholders.
  • Legal aid clinics and pro bono programs ensuring clients understand scope, fees, and privacy protections.

Recipients include new clients, guardians or corporate representatives, and any party required to acknowledge rights and disclosures before services begin.

The attorney or firm administrator signs to acknowledge the scope and terms of representation and to confirm the firm provided required disclosures and grievance procedures to the client.

Client / Authorized Representative

The client or a duly authorized representative signs to confirm receipt, acceptance of electronic delivery if applicable, and consent to the stated fee and confidentiality terms.

Core Elements to Include in the Statement

A concise, professional statement should cover the essentials so clients receive consistent information and the firm documents consent effectively.

Rights Summary

Bullet points that clearly state the client's core rights, including the right to be informed, the right to competent representation, and how to file a complaint.

Scope of Representation

A specific description of tasks and limitations so both parties understand what services are included and what falls outside the engagement.

Fees and Billing

Specify billing method, hourly rates or flat fees, retainer handling, expenses, and consequences of nonpayment in straightforward language.

Confidentiality

Explain attorney-client privilege, exceptions, data handling practices, and any special privacy protections that apply to sensitive information.

  • Send for Signature: Deliver by email or secure link with authentication as needed.
  • Archive: Store signed copy with certificate of completion and metadata.

Suggested Digital Workflow Settings

Configure these settings to balance signer convenience with identity assurance and record retention obligations.

Field Configuration
Authentication Method Email link; use SMS or KBA for higher assurance
Signature Type Electronic signature with audit trail
Retention Setting Retain signed record 6+ years for HIPAA cases

Platform and Format Considerations

Choose a platform that supports required file formats, audit trails, and authentication levels for your practice.

Record Retention Start:

Retention period begins on the effective date entered in the statement.

Annual Review:

Review engagement terms annually for ongoing matters or upon material changes.

Risks and Consequences of Errors

Client Disputes: Inaccurate disclosures can lead to malpractice claims
Regulatory Fines: HIPAA or state violations may result in penalties
Invalid Consent: Missing ESIGN disclosure can void electronic consent
Evidentiary Issues: Incomplete audit trails weaken enforcement in court
Data Breach: Insufficient security increases breach exposure
Billing Disputes: Unclear fee terms cause collection problems

Common Preparation Errors to Avoid

  • Using inconsistent client names or initials across documents, which can hinder identity verification and enforcement.
  • Omitting the ESIGN consumer disclosure when obtaining electronic consent for consumer-facing matters, which may invalidate consent.
  • Leaving fee terms vague or failing to specify who pays expenses, creating predictable billing disputes.
  • Failing to capture and retain the signing audit trail, which undermines proof of consent and execution.

Practical Tips for Accurate Completion

Adopt these practices to reduce errors, strengthen proof of consent, and make retention consistent with legal obligations.

Confirm Identity
Verify the signer's identity using at least one reliable method; for high-risk matters, require multi-factor authentication or ID credential analysis to reduce repudiation risk.
Use Clear Language
Write fees, scope, and consent provisions in plain English; avoid legalese that clients may misinterpret and that can create enforcement ambiguity.
Capture Audit Trail
Preserve a timestamped record with IP address, email, and signing events to document intent and support admissibility under ESIGN and state law.
Retain Consistently
Apply a retention schedule that meets the strictest applicable requirement across federal, state, and industry rules to avoid accidental early disposal.

How to Amend or Update the Statement

Use a controlled amendment workflow to ensure changes are documented, consented to, and stored with the original statement.

01

Initiate Amendment:

Draft the revised language and note the reason for the change.
02

Notify Client:

Provide the updated statement with an explanation and request acknowledgment.
03

Obtain Consent:

Secure a signature or written acceptance of the amendment.
04

Notarize If Required:

Notarize amendments when state law or the original terms require it.
05

Distribute Copies:

Send signed copies to all affected parties and the matter file.
06

Update Retention:

Adjust retention tracking to include the amendment date.
