LEGAL CLIENT WAIVER

This Legal Client Waiver (the "Waiver") is entered into as of Effective Date: between Client Name: ("Client"), and Law Firm/Attorney Name: ("Firm"). The Client and the Firm are each a "Party" and together the "Parties."

RECITALS

WHEREAS, the Client has engaged or intends to engage the Firm to provide legal services relating to the matter described below; and

WHEREAS, the Parties desire to record certain acknowledgments, waivers, releases and allocations of risk with respect to the provision of those legal services and related communications; and

WHEREAS, the Parties acknowledge that the Client has read, understands and voluntarily agrees to the terms set forth in this Waiver.

NOW THEREFORE

In consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

For purposes of this Waiver: "Services" means the legal services to be provided by the Firm to the Client as described above; "Claims" means any and all causes of action, liabilities, losses, costs, damages, claims, demands and expenses, including reasonable attorneys' fees and costs.

3. ACKNOWLEDGMENT OF RISKS; NO GUARANTEE

Client acknowledges that legal outcomes are uncertain and that the Firm has made no promises or guarantees regarding the results of the Services. Client further acknowledges that Client has had the opportunity to ask questions and has received answers to Client's satisfaction regarding the scope, risks and limitations of representation.

4. EXPRESS WAIVER AND RELEASE

To the fullest extent permitted by law, Client hereby expressly waives, releases and forever discharges the Firm and its partners, associates, employees and agents from any Claims arising out of or relating to the Services, except Claims resulting from the Firm's gross negligence, willful misconduct, or material breach of this Waiver. This waiver is a bargained-for allocation of risk and was entered into knowingly and voluntarily.

5. INDEMNIFICATION

Client shall indemnify, defend and hold harmless the Firm from and against any third-party Claims arising from Client's actions, omissions, misrepresentations, or breaches of this Waiver, except to the extent any such Claims are caused by the Firm's gross negligence or willful misconduct.

6. CONFIDENTIALITY AND LIMITED WAIVER OF PRIVILEGE

The attorney-client privilege and work product protections shall continue to apply to communications between Client and Firm, except that Client authorizes the Firm to disclose such communications as reasonably necessary to effectuate the Services, to settle claims between the Parties, or as required by law. Any limited waiver of privilege shall be narrowly construed.

7. REPRESENTATIONS AND WARRANTIES

Each Party represents and warrants that it has the full power and authority to enter into this Waiver, that execution of this Waiver has been duly authorized, and that this Waiver constitutes a valid and binding obligation enforceable against such Party in accordance with its terms.

All notices required or permitted under this Waiver shall be in writing and delivered to the addresses of the Parties. Notices to Client should be sent to:

This Waiver shall be governed by and construed in accordance with the laws of the State of , without regard to that State's conflict of laws principles.

10. ENTIRE AGREEMENT

This Waiver contains the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written.

11. SEVERABILITY

If any provision of this Waiver is held to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired.

12. AMENDMENTS; WAIVER; COUNTERPARTS

This Waiver may be amended or modified only by a written instrument signed by both Parties. No failure or delay by any Party in exercising any right under this Waiver shall operate as a waiver of such right. This Waiver may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

Client hereby acknowledges and affirms that Client has read and understands the terms of this Waiver, has had the opportunity to consult with independent counsel, and enters into this Waiver voluntarily and without coercion.
