LEGAL CLINIC AGREEMENT

This Legal Clinic Agreement ("Agreement") is entered into as of the Effective Date: by and between Legal Clinic Name: with principal place of business at ("Clinic"), and Client Name: residing at ("Client"). Clinic and Client are referred to collectively as the "Parties."

RECITALS

WHEREAS, Clinic operates a legal services clinic that provides limited legal assistance and supervised law practice opportunities; and

WHEREAS, Client seeks legal assistance in the matter described below and acknowledges that Clinic's services may be provided by supervised law students, volunteer attorneys, or staff attorneys; and

WHEREAS, the Parties desire to set forth the terms under which Clinic will provide limited legal services to Client.

NOW, THEREFORE

In consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the Parties agree as follows:

1. SCOPE OF SERVICES

1.1 Clinic will provide the following limited legal services to Client: . The specific work to be performed is described below.

1.2 Clinic's services are expressly limited to the matters described in this Agreement. Clinic does not undertake any obligation to represent Client beyond the scope set forth herein, unless an express written agreement signed by both Parties amends this Agreement.

2. CLIENT RESPONSIBILITIES

2.1 Client shall cooperate fully with Clinic, provide complete and accurate information and documents requested, and appear for scheduled meetings, interviews, hearings, or other proceedings. Failure to cooperate may result in suspension or termination of services.

3. STUDENT PARTICIPATION; SUPERVISION

3.1 Client acknowledges and consents to the participation of law students and supervised volunteers in the provision of services. Student participation is under the direct supervision of a licensed attorney. Client consents to such participation: Yes

4. CONFIDENTIALITY AND PRIVILEGE

4.1 Information disclosed by Client to Clinic will be maintained in confidence consistent with applicable rules of professional conduct and Clinic policies. Communications for the purpose of securing legal advice are intended to be protected by the attorney-client privilege where applicable.

4.2 Client authorizes Clinic to share case information with supervisory attorneys, clinic staff, and, when necessary, placement partners for purposes of representation, training, case management, or referral. Client authorizes such disclosure: Yes

5. CONFLICTS OF INTEREST

5.1 Clinic will perform a conflict check before providing services. If a conflict of interest exists that prevents Clinic from representing Client, Clinic will notify Client and, if appropriate, provide a referral for alternate counsel.

6. FEES, COSTS, AND PAYMENT

6.2 Client is responsible for any out-of-pocket costs and filing fees incurred on Client's behalf unless otherwise agreed in writing. Any fee arrangement or reimbursement obligation shall be documented in an attachment to this Agreement and signed by both Parties.

7. RECORDS; DOCUMENT RETENTION

7.1 Clinic will maintain a client file containing materials relevant to representation. Client acknowledges that Clinic may maintain files electronically. At the conclusion of representation, Clinic may retain copies of the file in accordance with Clinic policy and applicable law.

8. TERMINATION

8.1 Either Party may terminate this Agreement upon written notice to the other Party. Clinic may withdraw for good cause, including Client's failure to cooperate, nonpayment of agreed costs, or conflict of interest. Termination does not relieve Client of obligations incurred prior to termination.

9. NOTICES

9.1 All notices under this Agreement must be in writing and delivered to the addresses below by hand, certified mail, or other method that provides confirmation of delivery.

10. AMENDMENTS; WAIVER

10.1 Any amendment to this Agreement must be in writing and signed by both Parties. No waiver of any provision of this Agreement shall be effective unless in writing and signed by the Party waiving compliance.

11. GOVERNING LAW; DISPUTE RESOLUTION

11.1 This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict-of-law principles.

11.2 Any dispute arising under this Agreement shall first be submitted to non-binding mediation. If mediation is unsuccessful, the Parties may pursue any remedy available at law or in equity.

12. ENTIRE AGREEMENT; SEVERABILITY

12.1 This Agreement, including any attachments or addenda signed by the Parties, constitutes the entire agreement between the Parties with respect to the subject matter herein and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written.

12.2 If any provision of this Agreement is determined to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
