RECITALS

4. ADJUSTMENTS AND PRORATIONS

Taxes, assessments, rents, utilities, insurance premium adjustments, and other periodic items shall be prorated as of the Closing Date on a per diem basis unless otherwise agreed. Any tax statements or bills not available at Closing shall be estimated in good faith and adjusted upon receipt of final bills. Seller shall remain responsible for obligations accruing prior to the Closing Date and Buyer for obligations accruing thereafter.

5. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants to the other that: (a) it has full power and authority to enter into this Statement and to consummate the transactions contemplated herein; (b) the execution and delivery of this Statement and the performance hereunder do not and will not violate any law, order, or contractual obligation to which such party is subject; and (c) the financial amounts and adjustments delivered to the Settlement Agent are true, complete, and accurate to the best of such party's knowledge.

6. CLOSING DELIVERIES

At or prior to Closing, Seller shall deliver: (i) instruments of transfer conveying the Assets free and clear of liens except those assumed by Buyer; (ii) executed payoff statements and lien releases as necessary; and (iii) affidavits and certificates reasonably requested by the Settlement Agent to permit disbursement. Buyer shall deliver: (i) funds sufficient to satisfy the Purchase Price and Closing Costs as set forth herein; and (ii) any documents required by the Purchase Agreement to effect transfer and vesting.

7. ESCROW AND DISBURSEMENT INSTRUCTIONS

Settlement Agent is authorized to disburse funds in accordance with the Distribution Schedule above and to rely upon this Statement and the representations herein. Settlement Agent shall withhold disbursements if a bona fide dispute exists as to amounts due and shall notify the parties in writing of such withholding. Settlement Agent shall not be liable for distributions made in good faith pursuant to the terms of this Statement.

8. TAXES, LIENS AND WITHHOLDINGS

Seller shall be responsible for payment of all taxes, assessments and obligations incurred prior to the Closing Date. Buyer shall be responsible for taxes and obligations arising after the Closing Date. If applicable law requires withholding or collection of taxes at Closing, the parties shall cooperate to ensure compliance and to allocate the burden of such taxes as required by law and as provided in the Purchase Agreement.

9. INDEMNIFICATION

Each party shall indemnify, defend and hold harmless the other party and the Settlement Agent from and against any losses, liabilities, claims, damages or expenses (including reasonable attorneys' fees) resulting from any breach of the representations, warranties or covenants set forth in this Statement or from negligent or willful acts or omissions in connection with the Closing.

10. NOTICES

All notices required or permitted under this Statement shall be in writing and shall be delivered to the addresses set forth above or to such other address as a party may designate by written notice delivered in accordance with this Section. Notice shall be effective upon receipt.

11. AMENDMENTS, WAIVER AND COUNTERPARTS

This Statement may be amended only by a written instrument executed by both parties. No failure or delay by a party in exercising any right shall operate as a waiver. This Statement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

12. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Statement shall be governed by and construed in accordance with the laws of the State specified by the parties: State of Governing Law: . This Statement, together with the Purchase Agreement and related instruments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings.
