Applicant represents and warrants to Company that: (a) Applicant is duly organized, validly existing and in good standing under the laws of the jurisdiction of its organization; (b) the execution and delivery of this Application and the consummation of the transactions contemplated herein have been duly authorized by all necessary corporate or other action; (c) all information provided in this Application and any attached financial statements is true, correct and complete in all material respects; and (d) no litigation, arbitration, administrative proceeding or claim is pending or, to Applicant's knowledge, threatened against Applicant that would materially impair its ability to perform its obligations under any resulting agreement.

4. AUTHORIZATION TO INVESTIGATE AND VERIFY

Applicant authorizes Company and its agents to verify any information provided and to obtain credit reports, trade references, bank references, background checks and other consumer or commercial reports as necessary to evaluate Applicant's creditworthiness and suitability for the requested accommodation. Applicant further authorizes banks, creditors, trade references, and other entities to release information to Company upon request.

Fees, charges, interest and payment terms applicable to any extension of credit or provision of services will be set forth in any separate agreement entered into by the parties. In the absence of a separate agreement, Applicant agrees to pay invoices in full within thirty (30) days of invoice date and to pay interest on past due amounts at the lesser of 1.5% per month or the maximum rate permitted by law. Applicant will be responsible for reasonable collection costs, including attorneys' fees, incurred by Company to enforce payment.

7. SECURITY AND REMEDIES

To secure Applicant's obligations arising from any extension of credit or services, Applicant grants Company a security interest in all present and after-acquired assets of Applicant to the fullest extent permitted by law. Applicant shall execute financing statements, security agreements and other documents reasonably required by Company to perfect and maintain such security interest. Company may exercise all remedies available under the Uniform Commercial Code and other applicable law upon default.

8. TERMINATION; SUSPENSION

Company may suspend or terminate any provisional accommodation or service to Applicant on notice if Applicant breaches any representation, warranty or covenant contained in this Application or in any resulting agreement, or if Company reasonably determines Applicant's financial condition or creditworthiness has materially deteriorated. Termination shall not relieve Applicant of liabilities incurred prior to termination.

9. NOTICES

All notices required or permitted under this Application shall be in writing and shall be delivered personally, by certified mail (return receipt requested), or by nationally recognized overnight courier to the addresses below. Notices shall be effective upon receipt.

10. MISCELLANEOUS

Governing Law: This Application and any agreement arising from it shall be governed by and construed in accordance with the laws of the jurisdiction governing the Company as set forth in any separate agreement, without regard to conflict of laws principles.

Entire Agreement: This Application, together with any separate written agreement executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior representations, negotiations and agreements, whether written or oral.

Severability: If any provision of this Application is held to be illegal, invalid or unenforceable, the remaining provisions shall remain in full force and effect and the parties shall negotiate in good faith to replace the invalid provision with a valid provision that, to the extent possible, achieves the original intent of the parties.

Amendments; Waiver: No amendment, modification or waiver of any provision hereof shall be effective unless set forth in a written instrument signed by the party against whom enforcement is sought. No failure or delay by either party in exercising any right shall operate as a waiver of that right.

Counterparts: This Application may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Facsimile or electronic signatures shall be deemed original signatures for all purposes.
