RECITALS

"Commitments" means the contractual obligations identified in Section 2. "Assessment Criteria" means the legal, financial and operational factors used to evaluate enforceability, performance risk, and remediation measures.

7. CONFIDENTIALITY

The Assessment, supporting documents, and communications made in connection with the Assessment shall be treated as Confidential Information of the disclosing party. Confidential Information shall not be disclosed except (a) as required by law or valid legal process (provided the disclosing party is given notice to seek protective relief), (b) to professional advisors subject to confidentiality obligations, or (c) with the prior written consent of the disclosing party. Use of Assessment results by a non-disclosing third party requires express written consent.

8. LIMITATION OF RELIANCE; NO LEGAL ADVICE

Except as expressly set forth in a separate engagement or retainer agreement, the Assessment is prepared for the parties for the limited purpose of evaluating the Commitments and does not constitute legal advice to third parties. No party may rely on this Assessment for purposes other than those expressly permitted herein. Neither party shall assert reliance by any third party without the prior written consent of the other party and, if applicable, any provider of legal advice.

9. NOTICES

All notices under this Assessment shall be in writing and delivered to the addresses set forth below or to such other address as a party designates by notice in accordance with this section.

10. AMENDMENTS; WAIVER

No amendment, modification or waiver of any provision of this Assessment shall be effective unless made in a writing signed by authorized representatives of both parties. No failure or delay by either party in exercising any right shall operate as a waiver of that right.

11. GOVERNING LAW; SEVERABILITY; ENTIRE AGREEMENT

This Assessment shall be governed by and construed in accordance with the laws selected by the parties below. If any provision of this Assessment is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. This Assessment constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior oral or written understandings concerning the Assessment.

This Assessment may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures exchanged by electronic means shall be deemed original signatures for all purposes.
