LEGAL COMMUNICATION FORM

This Legal Communication Form (the "Form") is made effective as of by and between Client Name: (hereinafter "Client") and Service Provider Name: (hereinafter "Provider"). Each of Client and Provider is a "Party" and collectively the "Parties."

RECITALS

WHEREAS, the Parties desire to set forth agreed procedures, authorizations and limitations regarding communications made in connection with matters of mutual interest, including but not limited to legal, regulatory, and contractual subjects; and

WHEREAS, the Parties intend to preserve and protect privileged, confidential and proprietary communications to the fullest extent permitted by applicable law while enabling efficient notices and operational communications; and

WHEREAS, the Parties agree to designate authorized contacts, agree methods of transmission, and establish notice and retention protocols as set forth below.

NOW, THEREFORE

NOW THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

1. DEFINITIONS

For purposes of this Form, the following terms have the meanings set forth below. "Communications" means any written, electronic, oral, recorded or transmitted information exchanged between the Parties. "Privileged Communications" means Communications that are protected from disclosure under attorney‑client privilege, work product doctrine, or other applicable privilege.

2. AUTHORIZED COMMUNICATIONS

2.1 Scope. The Parties authorize Communications concerning matters that directly relate to the business relationship described in the Recitals and any specifically identified matters. Communications outside the authorized scope require prior written consent of the non-originating Party.

3. CONFIDENTIALITY AND PRIVILEGE

3.1 Treatment of Privileged Communications. Communications expressly designated in writing as "Privileged" or "Attorney-Client" by the originator shall be treated by the receiving Party as privileged and shall not be disclosed to third parties without the originator's prior written consent, except as required by law or court order. Designation shall not constitute a waiver of privilege by the originator.

3.2 Confidential Information. Each Party shall safeguard Confidential Information contained in Communications with at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care.

The receiving Party acknowledges that Communications may be designated privileged by the originator and agrees to implement appropriate safeguards.

4. PRESERVATION AND LEGAL HOLD

4.1 Preservation. Upon written notice that a matter is subject to litigation, regulatory inquiry, or reasonably anticipated dispute, each Party shall implement a legal hold to preserve all Communications and related materials reasonably likely to be relevant.

5. NOTICES

5.1 Formal Notices. Formal notices required under this Form shall be sent to the addresses set forth below. Notices delivered by email shall be effective upon receipt, provided the sending Party retains evidence of delivery and no delivery failure notice is received.

6. ELECTRONIC COMMUNICATIONS

6.1 Consent. Each Party expressly consents to receipt of Communications in electronic form where indicated below and accepts that electronic Communications satisfy any legal requirement for written notice unless a different form is required by law.

7. RECORDS, AUDIT AND RETENTION

7.1 Retention Period. Unless otherwise required by applicable law or a separate agreement, each Party shall retain Communications and related records for a period of from the date of creation.

8. TERM AND TERMINATION

8.1 Term. This Form commences on the Effective Date and continues until terminated by either Party upon thirty (30) days' prior written notice, subject to preservation obligations for Communications created prior to termination.

8.2 Survival. Sections concerning Confidentiality, Privilege, Preservation, Notices, Governing Law, Indemnification and any other provisions that by their nature should survive shall survive termination.

9. INDEMNIFICATION

Each Party shall indemnify, defend and hold harmless the other Party from and against any losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of the indemnifying Party's breach of this Form or its negligent or willful misconduct in connection with Communications.

10. MISCELLANEOUS

10.1 Governing Law. This Form shall be governed by and construed in accordance with the laws of the state or jurisdiction selected by the Parties below. Governing Jurisdiction:

10.2 Entire Agreement. This Form constitutes the entire agreement between the Parties relating to its subject matter and supersedes all prior oral or written agreements concerning such subject matter.

10.3 Severability. If any provision of this Form is held invalid or unenforceable, such provision shall be severed and the remainder of this Form shall remain in full force and effect.

10.4 Amendments and Waiver. No amendment, modification or waiver of any provision of this Form shall be effective unless in writing and signed by both Parties. The failure of either Party to enforce any right shall not constitute a waiver of that right.

10.5 Counterparts. This Form may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Electronic or facsimile signatures shall be deemed binding.
