Capitalized terms used in this Letter and not otherwise defined shall have the meanings given to them in the Agreement. For purposes of this Letter, "Notice" means any written communication delivered in accordance with Section 10 (Notices).

2. PURPOSE OF THIS COMMUNICATION

The purpose of this Letter is to provide formal notice to Recipient of the matters described in the Recitals, to specify required corrective actions, to state the applicable cure period, and to reserve all rights and remedies of Sender under the Agreement and applicable law.

3. NOTICE AND DEMAND

Sender hereby demands that Recipient cure the identified breach or perform the required action(s) described below within days of Recipient's receipt of this Letter.

If Recipient fails to cure the breach within the stated period, Sender expressly reserves the right to pursue any and all remedies permitted under the Agreement and applicable law, including but not limited to injunctive relief, specific performance, monetary damages, and recovery of costs and attorneys' fees.

4. ACTIONS REQUIRED AND TIMELINE

Recipient shall take the following actions by the dates specified below. Time is of the essence with respect to each obligation listed.

5. CONFIDENTIALITY; PRESERVATION OF EVIDENCE

All non-public communications, documents, analyses and other information provided in connection with this Letter shall be kept confidential by Recipient and shall be used only for purposes of addressing the matters set forth herein. Recipient shall preserve all documents, electronically stored information, communications and other evidence relevant to the matters identified in this Letter and shall not destroy, alter, or conceal such materials.

6. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has full power and authority to enter into this Letter and to perform its obligations hereunder. No party makes any representation or warranty, express or implied, beyond those expressly set forth in the Agreement except as set forth in this Letter.

7. REMEDIES; NO WAIVER

Except as expressly provided in this Letter, no action or failure to act by Sender shall constitute a waiver of any rights or remedies. Sender's exercise of any remedy shall be without prejudice to any other remedies available at law or in equity.

8. LIMITATION OF LIABILITY

Nothing in this Letter shall be construed to expand, limit, or otherwise modify any limitation of liability set forth in the Agreement. The remedies in this Letter are cumulative and not exclusive.

9. NOTICES

All notices required or permitted under this Letter shall be in writing and delivered by personal delivery, registered or certified mail (return receipt requested), or nationally recognized overnight courier. Notices to the parties shall be sent to the following addresses or to such other address as a party may designate in writing:

This Letter may be amended only by a writing signed by both parties. This Letter may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. If any provision of this Letter is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

11. GOVERNING LAW; ENTIRE AGREEMENT

This Letter shall be governed by and construed in accordance with the laws of the jurisdiction specified in the Agreement. This Letter, together with the Agreement, constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes any prior oral or written communications relating thereto.

12. PRESERVATION OF RIGHTS

Nothing contained in this Letter shall be construed as a waiver of Sender's right to pursue any claims or remedies, whether at law or in equity, nor as an admission of liability by Sender.
