The Recipient agrees to use the information solely for the purposes of contracting, payment, compliance, regulatory filings and internal due diligence, to maintain reasonable administrative, technical and physical safeguards to protect such information, and to disclose such information only to persons who have a need to know and who are bound by confidentiality obligations at least as protective as those set forth herein, or when disclosure is required by applicable law, regulation or court order.

7. NOTICES

All notices and communications required or permitted under this Form must be in writing and shall be deemed given when delivered personally, sent by certified mail (return receipt requested), or by overnight courier to the addresses set forth below (or to such other address as a party may designate by notice in accordance with this Section).

8. AMENDMENTS; WAIVER; COUNTERPARTS

This Form may be amended, modified or supplemented only by a written instrument executed by the duly authorized representatives of both parties. No failure or delay by either party in exercising any right under this Form shall operate as a waiver thereof, and no single or partial exercise of any right shall preclude any other or further exercise of that right.
