(b) execute, deliver, acknowledge, file and record any documents, proxies, consents, waivers, certificates, resolutions or instruments that the Proxy in good faith deems necessary or desirable to carry out the foregoing powers, including, without limitation, the power to sign on behalf of the Company any document related to the matters set forth in subsection (a).

The authority granted herein shall be construed broadly and includes the authority to take any action which the Proxy reasonably believes to be in the best interests of the Company with respect to the matters described above.

3. LIMITATIONS ON AUTHORITY

The Proxy shall not exercise any authority to amend, restate, or otherwise materially alter the Company's articles, bylaws or capitalization structure except as expressly authorized in writing below. Specific limitations (if any) are set forth here:

4. EFFECTIVE PERIOD

This Proxy shall become effective on the date of execution by the authorized signatory of the Company and shall remain in effect until unless earlier revoked in accordance with Section 5.

5. REVOCATION

The Company may revoke this Proxy at any time by delivering written notice of revocation to the Proxy. Any revocation shall be effective upon receipt by the Proxy but shall not affect any action taken by the Proxy in good faith prior to receipt of such revocation.

The Company represents and warrants that: (a) it is duly organized and validly existing under the laws of the jurisdiction identified above; (b) the person executing this Proxy on behalf of the Company is duly authorized to do so; and (c) this Proxy constitutes a valid and binding obligation of the Company enforceable in accordance with its terms.

The Proxy hereby accepts the appointment and covenants to exercise the authority granted herein in good faith and in a manner consistent with the fiduciary duties owed to the Company.

10. GOVERNING LAW

This Proxy shall be governed by and construed in accordance with the laws of the jurisdiction of incorporation of the Company without regard to principles of conflicts of law.

11. ENTIRE AGREEMENT

This Proxy constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, understandings and negotiations, whether written or oral.

12. SEVERABILITY

If any provision of this Proxy is held to be illegal, invalid or unenforceable, such provision shall be enforced to the fullest extent permitted by law and the remaining provisions shall remain in full force and effect.

13. AMENDMENT; WAIVER; COUNTERPARTS

This Proxy may be amended only by a written instrument executed by the Company and the Proxy. No failure or delay in exercising any right shall operate as a waiver.
