No failure or delay by either party in exercising any right shall operate as a waiver, and no waiver shall be effective unless in writing. This Agreement may be executed in counterparts, each of which shall be deemed an original.

9. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Agreement shall be governed by and construed in accordance with the substantive laws of the state identified below, without regard to conflict-of-law principles. This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof. If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
