RECITALS

WHEREAS, Provider has performed certain services and delivered specified deliverables under prior agreements and statements of work described as: (the "Work");

WHEREAS, Provider represents that the Work has been completed in accordance with the specifications and acceptance criteria set forth in the applicable agreement and that all deliverables required have been provided to Client; and

WHEREAS, the parties wish to document final completion, acceptance procedures, any remaining obligations and the effect of completion on final payment and transfer of rights.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. DEFINITIONS

1.1 "Completion Date" means the date on which Provider certifies that the Work is complete and all required deliverables have been delivered to Client. Completion Date:

1.2 "Deliverables" means the tangible and intangible outputs described in this Completion and any attached schedules, including but not limited to final reports, source code, documentation and materials delivered to Client.

2. ACKNOWLEDGMENT OF COMPLETION

2.1 Provider hereby certifies that the Work has been completed as of the Completion Date and that all Deliverables required by the governing agreement have been delivered to Client in the format and manner required.

2.2 Client acknowledges receipt of the Deliverables and agrees to inspect such Deliverables in good faith within days of the Completion Date in accordance with the acceptance criteria set forth in the governing agreement.

3. ACCEPTANCE; FINAL PAYMENT

3.1 If Client does not provide written notice of rejection specifying non-conformities within the acceptance period referenced above, the Deliverables shall be deemed accepted. A notice of rejection shall describe with reasonable particularity any claimed deficiencies.

3.2 Final payment due to Provider upon acceptance or deemed acceptance shall be: . Provider acknowledges that receipt of final payment constitutes satisfaction of Provider's obligations for the portion of Work specified by this Completion, subject to surviving obligations expressly set forth herein.

4. DELIVERABLES; TRANSFER OF TITLE

Title to the Deliverables and any related materials shall pass to Client upon final payment except as otherwise provided in the governing agreement. Provider shall deliver to Client any documentation, source code escrow, or other items specifically required by the governing agreement.

5. REPRESENTATIONS AND WARRANTIES

5.1 Each party represents and warrants that it has full corporate or individual power and authority to enter into this Completion and to perform its obligations hereunder and that performance will not violate any agreement to which it is a party.

5.2 Provider warrants that the Deliverables, at the time of acceptance, substantially conform to the specifications set forth in the governing agreement and are free from material defects in workmanship for a period of days following acceptance.

6. CONFIDENTIALITY

6.1 All Confidential Materials exchanged in connection with the Work shall remain subject to the confidentiality obligations of the governing agreement. The obligations shall survive termination or completion of the Work for the period specified in the governing agreement or, if none, for three (3) years.

7. INDEMNIFICATION

Provider shall indemnify, defend and hold harmless Client and its officers, directors and agents from and against any third-party claims, liabilities, losses and expenses (including reasonable attorneys' fees) arising out of Provider's breach of this Completion, negligent acts or willful misconduct in performing the Work.

8. LIMITATION OF LIABILITY

Except for liability arising from gross negligence, willful misconduct, or Provider's indemnification obligations, the aggregate liability of each party arising out of or related to this Completion shall not exceed the amount of fees paid to Provider under the governing agreement in the twelve (12) months preceding the claim or , whichever is greater.

9. NOTICES

Notices shall be in writing and delivered in accordance with the notice provisions of the governing agreement or, if none, by personal delivery, nationally recognized overnight courier, or certified mail, return receipt requested, to the addresses set forth above.

10. AMENDMENTS

This Completion may be amended only by a written instrument signed by authorized representatives of both parties. Any attempted amendment not so executed shall be void.

11. WAIVER

No failure or delay by either party in exercising any right shall operate as a waiver thereof, and any waiver must be in writing signed by the waiving party. A single waiver shall not be deemed a continuing waiver.

12. COUNTERPARTS

This Completion may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Signatures transmitted by electronic means shall be effective as originals.

13. GOVERNING LAW
