3. Acceptance Procedures

Upon notification of completion of a Milestone, Client shall have a period of days to perform acceptance testing and either issue written Acceptance or provide a written list of nonconformities. If Client fails to provide notice within the acceptance period, the Milestone shall be deemed accepted.

4. Delays, Extensions and Excusable Delay

Contractor shall meet the Milestone dates unless prevented by excusable delays. Excusable delay means delay caused by events beyond the reasonable control of the affected party, including but not limited to acts of God, labor disputes, shortages of materials that cannot reasonably be avoided, governmental action or pandemic. The affected party shall promptly notify the other party and shall propose a revised completion date. Approved extensions shall be documented in writing in accordance with Section 6.

5. Remedies for Failure to Complete

If a Milestone is not completed by the applicable due date and no approved extension exists, the parties agree that liquidated damages shall apply as follows (if applicable): Liquidated damages per calendar day of delay: , with a maximum aggregate cap of . 7. Notices

All notices required or permitted under this Schedule shall be in writing and delivered to the addresses set forth below or to such other address as a party may designate by written notice.

8. Governing Law

This Schedule shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of law principles.

9. Entire Agreement

This Schedule, together with the underlying agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions and understandings regarding the scheduling and acceptance of Milestones.

10. Severability

If any provision of this Schedule is held invalid or unenforceable, the remaining provisions shall remain in full force and effect and shall be construed to give effect to the parties' intent as reflected herein.

11. Amendments; Waiver; Counterparts

Any amendment or modification of this Schedule must be in writing and signed by authorized representatives of both parties. Waiver of any provision or breach shall not constitute a waiver of any prior or subsequent right.
