RECITALS

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

For purposes of this Checklist: "Compliance Requirement" means any statute, regulation, license requirement, contractual obligation, policy, or industry standard applicable to the services or operations of the parties. "Responsible Party" means the individual or corporate unit designated to verify compliance and to implement corrective actions.

This Checklist applies to the business activities, facilities, and records reasonably related to the services performed by Service Provider for Client under existing agreements during the period commencing on the Effective Date and continuing until superseded or terminated by written agreement of the parties.

Client shall have the right, upon reasonable notice, to inspect documents, systems, and records directly related to the Compliance Requirements set forth in this Checklist. The parties shall cooperate to schedule audits at mutually agreeable times and to limit disruption to ordinary business operations. Any inspection shall be conducted in a manner that preserves confidentiality and minimizes interference.

5. Non-Compliance, Remedies and Corrective Action

Where a deficiency is identified, the Responsible Person shall prepare a Corrective Action Plan that specifies root cause, remedial steps, responsible individuals, and a target completion date. Failure to implement required corrective action within the agreed timeframe shall constitute a material breach of the parties' agreement and entitle the non-breaching party to pursue remedies available at law or in equity, including suspension of services, indemnification, or termination as appropriate.

6. Confidentiality

All information disclosed in connection with inspections, audits, or completion of this Checklist that is identified as confidential shall be treated in accordance with the parties' confidentiality obligations. Confidential information shall not be used for purposes unrelated to compliance verification without prior written consent of the disclosing party.

This Checklist may be amended only by a written instrument signed by both parties. No waiver of any provision shall be effective unless in writing and signed by the party granting the waiver. This Checklist may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

9. Governing Law; Entire Agreement; Severability

This Checklist shall be governed by and construed in accordance with the laws of the jurisdiction mutually selected by the parties at signing. This Checklist, together with any referenced compliance schedules or corrective action plans, constitutes the entire agreement of the parties with respect to the subject matter hereof and supersedes all prior understandings. If any provision of this Checklist is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

10. Certification

Each party, by its authorized representative signing below, certifies that the information provided in this Checklist is true and accurate to the best of the signatory's knowledge, and that the party will undertake all reasonable steps required to remedy any identified non-compliance within the timeframes agreed herein.
