LEGAL COMPLIANCE DOCUMENT

This Legal Compliance Document (the Agreement) is entered into as of by and between Company Name: (\"Company\") and Counterparty Name: (\"Counterparty\"). Company and Counterparty are each a \"Party\" and collectively the \"Parties.\" The Parties agree as follows.

RECITALS

WHEREAS, Company engages in business activities that require adherence to applicable laws, regulations, internal policies, and industry standards, including but not limited to anti-corruption, trade controls, data protection, and labor laws; and

WHEREAS, Counterparty performs certain services and/or supplies goods to Company and represents that it will maintain an adequate compliance program to prevent, detect and remediate violations of applicable legal requirements and Company policies; and

WHEREAS, the Parties desire to set forth their respective obligations for legal and regulatory compliance, reporting, remediation, and cooperation in order to manage legal risk and demonstrate accountability.

NOW, THEREFORE, in consideration of the mutual covenants set forth below, the Parties agree as follows.

1. DEFINITIONS

For purposes of this Agreement, the following terms have the meanings set forth below. \"Applicable Law\" means all laws, statutes, regulations, ordinances, and legally enforceable governmental orders applicable to a Party in the performance of its obligations. \"Compliance Program\" means written policies, procedures, training, monitoring and remediation processes designed to achieve and demonstrate compliance with Applicable Law.

2. REPRESENTATIONS AND WARRANTIES

Each Party represents and warrants that: (a) it is duly organized and in good standing under its governing law; (b) it has the full corporate power and authority to enter into and perform this Agreement; and (c) its performance under this Agreement will not violate any Applicable Law or any material contractual obligation with a third party.

3. COMPLIANCE OBLIGATIONS

Each Party shall maintain and enforce a Compliance Program reasonably designed to ensure adherence to Applicable Law. Such Compliance Program shall include: written policies and procedures; periodic risk assessments; appropriate personnel training; designation of a compliance officer; reporting and investigation processes; and documented corrective actions where violations are identified.

4. ANTI-CORRUPTION AND TRADE CONTROLS

Each Party shall comply fully with all anti-corruption, anti-bribery, trade sanctions and export control laws applicable to its activities, including prohibitions on offering, paying, promising, or authorizing the payment of any improper benefit to a government official or private person to obtain or retain business. Each Party shall maintain reasonable controls to prevent transactions with sanctioned parties or jurisdictions.

5. DATA PROTECTION AND CONFIDENTIAL INFORMATION

Each Party shall process and protect Personal Data in accordance with Applicable Law and the Parties' confidentiality obligations. A Party receiving Confidential Information shall implement and maintain reasonable administrative, technical and physical safeguards to protect such information against unauthorized access, use or disclosure and shall only use Confidential Information for purposes permitted under this Agreement.

6. REPORTING, INVESTIGATION AND REMEDIATION

Each Party shall promptly report in writing to the other Party any credible allegation or discovery of a material violation of Applicable Law or this Agreement that relates to the subject matter of the Parties' relationship. The reporting Party shall provide a written description of the facts known, the identity of individuals involved to the extent known, and proposed corrective actions. Within a commercially reasonable time, the Parties shall cooperate to investigate and to implement remediation measures.

7. AUDIT RIGHTS

Upon reasonable notice and subject to confidentiality protections, each Party shall permit the other Party, or an independent auditor engaged by the requesting Party, to audit relevant records, systems and processes to verify compliance with this Agreement. Audit scope, frequency and confidentiality safeguards shall be mutually agreed, provided that no more than one on-site audit shall be conducted in any consecutive 12-month period absent material noncompliance.

8. RECORDS RETENTION

Each Party shall retain records sufficient to demonstrate compliance with this Agreement and Applicable Law for a period of no less than years following creation of the records, unless a longer period is required by Applicable Law.

9. TRAINING

Each Party shall provide periodic training for personnel whose duties relate to the Parties' relationship. Training shall be documented and updated to address relevant legal and regulatory developments. Proof of training shall be made available to the other Party upon reasonable request in connection with an audit or investigation.

10. INDEMNIFICATION; LIMITATION OF LIABILITY

Each Party (the Indemnifying Party) shall indemnify, defend and hold harmless the other Party and its affiliates, officers, directors and employees from and against any third-party claims, losses, liabilities, fines or penalties arising from the Indemnifying Party's breach of this Agreement or violation of Applicable Law, except to the extent such loss results from the indemnitee's gross negligence or willful misconduct.

EXCEPT FOR A BREACH OF CONFIDENTIALITY OR A PARTY'S INDEMNIFICATION OBLIGATIONS, NEITHER PARTY SHALL BE LIABLE FOR SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES.

11. REMEDIES

Remedies provided in this Agreement are cumulative and in addition to any rights or remedies available at law or in equity. Where a Party materially breaches its obligations under this Agreement and fails to cure within thirty (30) days after written notice, the non-breaching Party may suspend performance and pursue termination rights in accordance with any underlying commercial agreement between the Parties.

12. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below by personal delivery, certified mail, overnight courier or email to the designated compliance officer, and shall be effective upon receipt.

13. AMENDMENT; WAIVER; COUNTERPARTS

No amendment to this Agreement shall be effective unless in a writing signed by authorized representatives of both Parties. No waiver shall be valid unless in writing. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

14. GOVERNING LAW; SEVERABILITY; ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction selected by the Parties below, without regard to conflict of law principles. If any provision of this Agreement is held invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect. This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, oral or written.

15. MISCELLANEOUS PROVISIONS

The Parties shall cooperate in good faith to fulfill the objectives of this Agreement. Neither Party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other Party, except to an affiliate or in connection with a merger or sale of substantially all assets, provided that the assignee assumes the assigning Party's obligations in writing.
