RECITALS

WHEREAS, Provider maintains expertise in regulatory compliance, internal control systems and compliance program design and shall provide guidance to Recipient to assist Recipient in meeting applicable legal and regulatory obligations; and

WHEREAS, Recipient seeks to adopt, test and document a compliance framework addressing the specific laws, regulations and standards identified in the Scope of Compliance Matters below; and

WHEREAS, the parties intend that this Guide set forth the procedures, responsibilities, reporting requirements and certification steps necessary for Recipient to implement, monitor and attest to compliance.

NOW THEREFORE, in consideration of the mutual covenants set forth herein, the parties agree as follows:

1. DEFINITIONS

For purposes of this Guide, the following terms shall have the meanings set forth below. "Applicable Laws" means the statutes, regulations and administrative rules listed under Scope of Compliance Matters and any subsequent laws that materially affect Recipient's operations. 2.1 Provider Obligations. Provider shall (a) deliver written compliance guidance; (b) provide templates for policies and procedures; and (c) advise on reasonable remediation measures where gaps are identified. Specific deliverables and timeline:

2.2 Recipient Obligations. Recipient shall provide access to requested documents, designate a compliance officer and implement the agreed remediation measures within the timeframes set forth in this Guide.

3. COMPLIANCE MATTERS AND CHECKLIST

The following areas are included in the Guide. Recipient acknowledges review of the items checked below and agrees to adopt the associated policies and controls.

4. SELF-ASSESSMENT, MONITORING AND CERTIFICATION

4.1 Self-Assessment. Recipient shall complete a written self-assessment of compliance for each checked matter within days of the Effective Date.

4.2 Certification. Upon completion of remediation measures, Recipient's authorized representative shall provide a written certification in the form below attesting to good faith implementation of required policies and controls.

4.3 Certification Attestation. By executing the signature block below, each signatory represents under penalty of perjury that the certification is true and accurate to the signatory's knowledge and that the signatory is authorized to bind the applicable party.

5. REPORTING, INVESTIGATION AND REMEDIATION

5.1 Reporting. Recipient will notify Provider in writing within of any alleged or actual material violation of Applicable Laws. Reports shall include facts known, estimated dates and persons involved.

5.2 Investigation and Remediation. Provider may, at Recipient's cost if required by law or material risk, assist with investigation and recommend remediation. Recipient shall use commercially reasonable efforts to implement remediation measures and document corrective actions.

6. CONFIDENTIALITY

6.1 Confidential Information. Each party shall maintain as confidential all non-public information disclosed in connection with this Guide, except information that (a) is or becomes publicly available other than by breach; (b) is rightfully received from a third party without restriction; or (c) is required to be disclosed by law or regulatory process, in which case the disclosing party shall provide prompt notice to the other.

6.2 Use Limitation. Confidential Information provided by Provider shall be used by Recipient solely for the purposes of implementing the compliance measures described in this Guide.

7. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that (a) it has the full right, power and authority to enter into this Guide; (b) the execution and performance do not violate any other agreement; and (c) the signatory executing this Guide is authorized to bind the party.

8. INDEMNIFICATION

Recipient shall indemnify, defend and hold harmless Provider from any loss, liability, claim or expense arising out of Recipient's failure to implement or maintain the controls and remediation measures required by this Guide, except to the extent caused by Provider's gross negligence or willful misconduct. Indemnitor's liability shall not exceed unless otherwise agreed in writing.

9. LIMITATION OF LIABILITY

Except for liability arising from fraud, gross negligence, willful misconduct or indemnification obligations, neither party shall be liable to the other for incidental, special, punitive or consequential damages, even if advised of the possibility of such damages.

11. AMENDMENTS; WAIVER

Any amendment to this Guide must be in writing and signed by both parties. No waiver by either party of any breach shall be effective unless in writing, and no single waiver shall constitute a continuing waiver of other breaches.

12. GOVERNING LAW

This Guide shall be governed by and construed in accordance with the laws of the jurisdiction specified below, without regard to conflicts of law principles.

13. ENTIRE AGREEMENT

This Guide, including any schedules or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior understandings and agreements, written or oral.

14. SEVERABILITY

If any provision of this Guide is held to be invalid, illegal or unenforceable, the remainder of the Guide shall remain in full force and effect and the parties shall negotiate in good faith to replace the invalid provision with a valid provision that most nearly accomplishes the original intent.

15. COUNTERPARTS

This Guide may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.
