WHEREAS, the parties acknowledge that timely remediation of the identified non-compliance is necessary to avoid further enforcement action.

NOW, THEREFORE, in consideration of the mutual covenants and for other good and valuable consideration, the parties agree as follows:

1. DEFINITIONS

For purposes of this Notice, the following terms shall have the meanings set forth below:

(a) "Non-Compliance" means the acts or omissions identified in this Notice that, in the reasonable judgment of Notifying Party, constitute a breach of applicable law, regulation, or material contractual obligation.

(b) "Cure Deadline" means the date by which Recipient Party must complete the Remedial Plan described in Section 3.

3. REMEDIATION PLAN AND DEADLINE

Recipient Party shall prepare and deliver to Notifying Party a written Remediation Plan describing the specific corrective actions to be taken, the responsible individuals, and the schedule for completion. The Remediation Plan must be submitted within: days of receipt of this Notice.

4. COOPERATION AND ACCESS

During the remediation period and for a reasonable period thereafter, Recipient Party shall cooperate with Notifying Party and provide reasonable access to facilities, personnel, and records necessary to verify remediation. Recipient Party shall not obstruct or delay any lawful inspection or audit performed pursuant to this Section.

5. REMEDIES AND ENFORCEMENT

If Recipient Party fails to submit a timely Remediation Plan or fails to effect remediation by the Cure Deadline, Notifying Party may, without limiting any other rights or remedies at law or in equity: (a) seek injunctive or other equitable relief; (b) suspend performance or access under any related agreement; (c) terminate any applicable agreement for cause; and (d) pursue recovery of costs, attorneys' fees, damages and any fines or penalties incurred by Notifying Party as a result of the Non-Compliance. Such remedies are cumulative.

6. CONFIDENTIALITY

The parties acknowledge that information exchanged in connection with this Notice may contain confidential or commercially sensitive information. Each party shall treat such information as Confidential Information under any applicable confidentiality agreement between the parties or, in the absence of a separate agreement, shall treat the information as confidential and shall not disclose it except as required by law or with the prior written consent of the disclosing party.

Notifying Party may disclose this Notice and supporting materials to its legal counsel, auditors, insurers, and regulatory authorities to the extent reasonably necessary to enforce its rights. If Recipient Party believes disclosure is necessary for its legal defense or regulatory reporting, Recipient Party shall notify Notifying Party in writing prior to such disclosure.

7. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has the full power and authority to enter into this Notice, that the individual executing this Notice on its behalf is duly authorized, and that neither the execution nor performance of this Notice will violate any material agreement or legal obligation binding the party.

All notices and communications required or permitted under this Notice shall be in writing and delivered to the contact addresses specified below by certified mail, personal delivery, nationally recognized courier, or email with confirmation of receipt. Notices shall be deemed given upon receipt.

If any provision of this Notice is held invalid or unenforceable by a court of competent jurisdiction, the remainder of this Notice shall remain in full force and effect and the parties shall negotiate in good faith to replace the invalid provision with a valid provision that comports with the original intent. This Notice constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior communications and understandings.

This Notice shall be governed by and construed in accordance with the laws of the State of without regard to choice-of-law principles.

11. COUNTERPARTS AND ELECTRONIC DELIVERY

This Notice may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Delivery of a signature page by electronic transmission shall have the same force and effect as delivery of an original signature.
