LEGAL COMPLIANCE REQUEST

This Legal Compliance Request ("Request") is made effective as of Effective Date: by and between Requesting Party: with principal place of business at and Responding Party: with principal place of business at .

RECITALS

WHEREAS, Requesting Party requires confirmation and documentary evidence that Responding Party is in compliance with all applicable laws, regulations, permits, licenses and contractual obligations applicable to the goods, services, operations, or subject matter described herein; and

WHEREAS, Responding Party possesses the records, certifications, attestations and other materials requested below and is obligated to provide such materials under the terms of existing agreements and applicable law; and

WHEREAS, the parties desire to set forth the scope, timing, manner of production, and use of requested compliance materials to ensure an efficient, secure, and legally compliant exchange of information.

NOW THEREFORE, in consideration of the mutual covenants set forth below, the parties agree as follows:

1. DEFINITIONS

1.1 "Requested Materials" means the documents, records, certifications, attestations and other information described in Section 2 below. 1.2 "Confidential Information" means non-public information exchanged under this Request as specified in Section 5. 1.3 "Production" means delivery of Requested Materials in accordance with the format and delivery obligations set forth in Section 3.

2. SCOPE OF REQUEST

2.1 Requested Materials. Responding Party shall produce the following Requested Materials, as applicable, for the period specified and in the manner requested:

3. PRODUCTION; DELIVERY; FORMAT

4. CERTIFICATIONS; REPRESENTATIONS

4.1 Certification. By production of Requested Materials, Responding Party certifies that, to the best of its knowledge after reasonable inquiry, the materials produced are complete and accurate copies of the requested records for the specified period, and that no responsive documents have been knowingly withheld other than those identified on a privilege log.

4.2 Compliance Representations. Responding Party represents that it is, and for the period covered by the Requested Materials was, in compliance with applicable statutes, regulations, permits and contractual obligations except as identified in writing and produced contemporaneously with the Requested Materials.

5. CONFIDENTIALITY; USE OF INFORMATION

5.1 Treatment. All Produced Materials designated as Confidential Information shall be used solely for the purposes stated in this Request and shall not be disclosed to third parties except as necessary to fulfill the Request and subject to confidentiality obligations no less protective than those herein.

5.2 Protective Measures. Requesting Party shall implement and maintain commercially reasonable safeguards to prevent unauthorized access, disclosure, alteration or destruction of Confidential Information and shall notify Responding Party promptly of any unauthorized disclosure.

6. NON-COMPLIANCE; REMEDIES

6.1 Failure to Produce. If Responding Party fails to produce the Requested Materials within the time specified, Requesting Party may pursue all available contractual and equitable remedies, including mandatory injunctive relief, specific performance and recovery of costs and reasonable attorneys' fees incurred in obtaining compliance.

6.2 Cure Opportunity. Prior to initiating judicial remedies, Requesting Party shall provide written notice of deficiency and a reasonable cure period of days, except where immediate relief is necessary to prevent irreparable harm.

7. INDEMNIFICATION; COSTS

7.1 Indemnity. Responding Party agrees to indemnify, defend and hold harmless Requesting Party from and against any and all losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising from misrepresentations in the Produced Materials or from breach of the representations, warranties or confidentiality obligations in this Request.

7.2 Cost Allocation. Unless otherwise agreed in writing, each party shall bear its own costs in responding to or preparing the Requested Materials, provided that costs attributable to extraordinary third-party expenses reasonably necessary for Production shall be allocated as follows:

All notices required or permitted under this Request shall be in writing and shall be delivered to the parties at the addresses set forth below or to such other address as a party designates in writing in accordance with this Section.

9. AMENDMENTS; WAIVER; COUNTERPARTS

9.1 Amendments. This Request may be amended or modified only by a written instrument signed by authorized representatives of both parties. 9.2 Waiver. No waiver of any breach or right shall be effective unless in writing and signed by the party granting the waiver. 9.3 Counterparts. This Request may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

10. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

10.1 Governing Law. This Request shall be governed by and construed in accordance with the laws of the state specified by Requesting Party: without regard to its conflict of law principles.

10.2 Entire Agreement. This Request constitutes the entire agreement between the parties with respect to the subject matter described herein and supersedes all prior understandings, negotiations and communications, whether written or oral.

10.3 Severability. If any provision of this Request is held to be invalid or unenforceable, the remainder of this Request shall remain in full force and effect and such provision shall be reformed only to the extent necessary to make it enforceable.
