RECITALS

WHEREAS, Requesting Party requires assurance that Certifying Party maintains compliance with applicable laws, regulations and internal policies relating to anti-corruption, sanctions, export controls, labor, environmental standards, taxation and data protection in connection with their business relationship; and

WHEREAS, Certifying Party represents that it has implemented compliance controls, policies and procedures reasonably designed to ensure adherence to such legal and regulatory obligations and is willing to provide this written Statement to Requesting Party as part of risk-management and contractual due diligence; and

WHEREAS, the parties wish to set forth the scope, certifications and reporting obligations related to such compliance for the duration specified herein.

NOW, THEREFORE

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. DEFINITIONS

For purposes of this Statement, "Applicable Law" means all statutes, regulations, administrative rules, and binding judicial or regulatory orders applicable to the activities described herein; "Compliance Program" means the policies, training, monitoring and remediation measures maintained by Certifying Party to ensure compliance with Applicable Law.

2. CERTIFICATION OF COMPLIANCE

Certifying Party hereby represents and warrants to Requesting Party that as of the Effective Date and continuing during the term of any business relationship arising from this Statement: (a) Certifying Party is in material compliance with all Applicable Law material to its business operations and to the scope of services or goods provided to Requesting Party; (b) Certifying Party has established, maintains and enforces a Compliance Program reasonably designed to detect, prevent and remediate violations of Applicable Law; and (c) no governmental authority has imposed any final judgment, settlement or legally binding order within the past years that materially affects Certifying Party's ability to perform obligations.

3. MATERIAL EXCEPTIONS

Certifying Party shall promptly report to Requesting Party any material non-compliance, regulatory enforcement action, or matter that could reasonably be expected to result in significant liability or reputational harm. If any such matters exist as of the Effective Date, Certifying Party shall describe them in the field below.

4. COMPLIANCE OBLIGATIONS

Certifying Party covenants that it will: (a) maintain policies and controls addressing anti-bribery and corruption, economic sanctions and export controls, labor and workplace standards, environmental laws, taxation, and data protection; (b) train personnel whose duties relate to such areas; (c) conduct reasonable due diligence on third-party agents and sub-contractors engaged in performance under the parties' relationship; and (d) take timely corrective action upon identification of any non-compliance.

5. REPRESENTATIONS AND WARRANTIES

Certifying Party further warrants that (a) it is not currently debarred, suspended or otherwise ineligible to participate in transactions subject to governmental procurement or export restrictions; (b) it will notify Requesting Party within five (5) business days of becoming aware of any event that would cause any representation in this Statement to be untrue; and (c) all information provided in connection with this Statement is true, complete and accurate in all material respects.

6. REPORTING, AUDIT AND RECORDS

Upon reasonable written notice and during normal business hours, Certifying Party will permit Requesting Party or its designated representative to review documentation reasonably necessary to verify compliance with the certifications in this Statement, subject to confidentiality protections. Certifying Party shall retain records relevant to this Statement for a period of years.

7. REMEDIES AND INDEMNITY

If Certifying Party breaches any representation, warranty or covenant in this Statement, Certifying Party shall promptly remedy the breach and indemnify and hold harmless Requesting Party from and against all losses, costs, fines, penalties and expenses (including reasonable attorneys' fees) arising directly from such breach, except to the extent caused by Requesting Party's negligence or willful misconduct.

8. CONFIDENTIALITY

All non-public information disclosed pursuant to this Statement, including audit materials and descriptions of internal controls, shall be treated as Confidential Information by the receiving party and used solely for the purposes of verifying compliance, except as required by law or valid legal process.

9. GOVERNING LAW

This Statement shall be governed by and construed in accordance with the laws of the jurisdiction selected by the parties below. The parties submit to the exclusive jurisdiction of such courts for disputes arising from this Statement.

10. ENTIRE AGREEMENT; SEVERABILITY

This Statement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior oral and written statements concerning the subject matter. Any invalid or unenforceable provision shall be severed and the remaining provisions shall continue in full force and effect.

11. NOTICES

All notices required or permitted under this Statement shall be in writing and delivered to the addresses set forth in the opening paragraph or to such other address as a party may specify in writing.

12. AMENDMENT; WAIVER; COUNTERPARTS

No amendment or waiver of any provision of this Statement shall be effective unless made in a written instrument signed by authorized representatives of both parties. Failure to enforce any provision shall not constitute a waiver. This Statement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.
