Recitals

WHEREAS, Client seeks to document, evaluate, and remediate legal and regulatory compliance obligations across its operations; and

WHEREAS, Advisor has the experience and resources to facilitate a structured compliance assessment and to prepare this Workbook, including checklists, findings, remediation plans, and retention schedules; and

WHEREAS, the parties desire to set forth the scope, procedures, responsibilities, and certification requirements for the creation, use, and retention of the Workbook.

Now, therefore

In consideration of the mutual covenants contained herein, the parties agree as follows:

1. Definitions

1.1 "Workbook" means the set of documents, checklists, worksheets, findings, and remediation plans prepared under this agreement. 1.2 "Deliverables" means the final Workbook documents delivered to Client under section 2. 1.3 "Confidential Information" has the meaning set forth in Section 6.

2. Scope of Services and Deliverables

Advisor shall: (a) conduct a baseline compliance intake with Client; (b) prepare a written Workbook containing compliance checklists, assessment findings, and prioritized remediation recommendations; and (c) deliver the Workbook and one debrief session to Client. The Deliverables shall include, at minimum, the components listed below and any additional items agreed in writing.

3. Client Responsibilities

Client shall cooperate with Advisor by providing access to policies, personnel, records, systems, and facilities reasonably necessary for Advisor to perform the assessment. Client represents and warrants that all information provided is true, complete, and not misleading as of the date provided.

The parties agree to evaluate the following categories. For each category, check the applicable status and provide findings, the person responsible for remediation, and a target remediation date.

5. Records, Retention, and Access

Client shall retain all records and supporting documentation referenced in the Workbook for a period necessary to satisfy applicable legal and regulatory obligations. Advisor may retain copies of non-Confidential Information solely for internal quality control and compliance analytics, provided such retention does not disclose Client Confidential Information.

6. Confidentiality

Each party shall maintain in confidence all Confidential Information disclosed by the other party and shall not use such information except to perform its obligations under this Workbook. Confidential Information excludes information that: (a) is or becomes publicly known through no breach; (b) is rightfully received from a third party without restriction; (c) is independently developed; or (d) is required to be disclosed by law, provided the disclosing party is given prompt notice to seek protective relief.

7. Representations and Warranties; Limitations

Each party represents that it has authority to enter into this Workbook. Advisor warrants that services will be performed in a professional manner consistent with industry standards. EXCEPT AS EXPRESSLY PROVIDED, ADVISOR MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE. Client acknowledges that the Workbook is an assessment and does not itself guarantee regulatory compliance.

8. Notices

All notices under this Workbook shall be in writing and delivered to the addresses below by hand, certified mail, or overnight courier, and will be effective upon receipt.

9. Amendments, Waiver, Counterparts

No amendment or waiver of any provision of this Workbook will be effective unless in writing and signed by both parties. Failure to enforce any right is not a waiver. This Workbook may be executed in counterparts, each of which will be an original and all of which constitute one instrument.

10. Governing Law; Entire Agreement; Severability

This Workbook is governed by the substantive laws of the jurisdiction selected by the parties at the time of execution. This Workbook constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior agreements. If any provision is found unenforceable, the remaining provisions will remain in full force and effect.

11. Certifications and Acknowledgements

Client certifies that the information supplied in this Workbook is accurate and complete to the best of Client's knowledge. Advisor certifies that the Workbook provides a good faith assessment of the items reviewed and that recommendations are prioritized based on legal and regulatory risk.
