LEGAL CONDITIONAL WAIVER FORM

RECITALS

WHEREAS, Claimant has furnished labor, materials, equipment, or services in connection with the improvement of the property commonly known as Property Description: (the Project); and

WHEREAS, Payor and Claimant desire to document a conditional waiver and release of lien rights and claims to the extent of payment made to Claimant, subject to the conditions set forth below; and

WHEREAS, Claimant represents that Claimant is entitled to payment for the portion of the work described below and agrees to waive lien rights only to the extent and on the conditions stated herein.

NOW, THEREFORE, in consideration of the payment to be made and other good and valuable consideration, the parties agree as follows:

1. CONDITIONAL RELEASE UPON PAYMENT

Upon Payor making payment to Claimant in the Amount of: (Payment), and upon the Payment being actually received by Claimant and cleared by Claimant's bank, Claimant hereby knowingly and voluntarily waives and releases any and all mechanics' lien, stop notice, bond claim, or other security interest, whether statutory or common law, that Claimant has or may have on the Project arising from labor, materials, services, or equipment furnished through the date of this Waiver, but only to the extent of the Payment actually received and cleared.

2. CONDITION PRECEDENT

This Waiver is conditional. The waiver and release described in Section 1 shall take effect only when the Payment has been honored by the drawee bank and funds are irrevocably credited to Claimant's account, provided that if the Payment is made by check, the waiver shall not become effective until the check has been cleared and funds are available. If the Payment is returned, dishonored, or otherwise fails to clear, this Waiver shall be void ab initio and of no force or effect.

3. SCOPE OF RELEASE

The release effected by this Waiver extends only to amounts earned through the date of this Waiver and only to the extent of the Payment. This Waiver does not release claims for work performed after the date of this Waiver, retainage except as expressly provided below, or amounts not yet due or not covered by the Payment.

4. REPRESENTATIONS AND WARRANTIES

Claimant represents and warrants that: (a) Claimant is authorized to execute this Waiver; (b) Claimant has furnished the labor, materials, equipment, or services described herein; (c) Claimant has not assigned any claim or security interest other than as disclosed in writing; and (d) except for those amounts and claims expressly listed in the Exceptions field below, Claimant has no outstanding claims, liens, stop notices, or bond claims against the Project arising from the period through the date of this Waiver.

5. LIEN RIGHTS AND BOND CLAIMS

The waiver contained in this document shall operate as a conditional partial release of lien rights and, where applicable, a conditional short form release of bond claims to the extent of the Payment actually received and cleared. It is not a final waiver of all claims unless expressly stated in writing in the Final Release field below.

I represent that this document is intended as a final release upon final payment.

6. INDEMNITY

Claimant agrees to indemnify and hold harmless Payor and its agents, representatives, and lenders from and against any loss, liability, costs, or expenses (including reasonable attorneys' fees) arising from any breach of the representations in Section 4 or from any claim asserted by a third party that was not waived by this conditional release.

7. APPLICATION OF PAYMENT

Claimant agrees that the Payment shall first be applied to outstanding invoices and amounts due through the date of this Waiver, including taxes and lawful statutory charges, and that Claimant will account for amounts applied. Claimant acknowledges that this Waiver shall not prejudice Payor's rights to assert setoffs, counterclaims, or adjustments consistent with the contract between the parties.

8. NOTICES

All notices required or permitted under this Waiver shall be in writing and delivered to the addresses set forth below or to such other address as either party may designate by written notice in accordance with this Section.

9. GOVERNING LAW

This Waiver shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

10. ENTIRE AGREEMENT; SEVERABILITY

This Waiver constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior oral or written agreements and understandings. If any provision of this Waiver is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

11. AMENDMENT; WAIVER; COUNTERPARTS

This Waiver may be amended or modified only by a written instrument signed by both parties. No failure or delay by either party in exercising any right shall operate as a waiver. This Waiver may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.

12. MISCELLANEOUS

If any party brings an action to enforce the terms of this Waiver, the prevailing party shall be entitled to recover its reasonable attorneys' fees and costs. Headings are for convenience only and shall not affect interpretation.
