LEGAL CONFIDENTIALITY FORM

This Legal Confidentiality Form (the "Agreement") is entered into as of by and between Disclosing Party Name: (the "Disclosing Party"), located at and Receiving Party Name: (the "Receiving Party"), located at .

RECITALS

WHEREAS, the Disclosing Party possesses certain confidential, proprietary and trade secret information relating to its business, operations, technology, financials and other matters that it desires to disclose to the Receiving Party for the limited purpose set forth below; and

WHEREAS, the Receiving Party is willing to receive such information only on the condition that the Receiving Party maintain the confidentiality of such information and restrict its use as provided in this Agreement; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the disclosure and use of Confidential Information in connection with (the "Purpose").

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITION OF CONFIDENTIAL INFORMATION

1.1 "Confidential Information" means all non-public information, whether written, electronic or oral, disclosed by the Disclosing Party to the Receiving Party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information includes, without limitation, business plans, financial data, technical designs, inventions, trade secrets, customer and supplier lists, pricing, and marketing strategies, and any analyses, compilations, studies or other documents prepared by the Receiving Party that contain or otherwise reflect such information.

2. EXCLUSIONS

2.1 Confidential Information does not include information that: (a) is or becomes generally available to the public other than through a breach of this Agreement by the Receiving Party; (b) was lawfully known to the Receiving Party without restriction prior to disclosure by the Disclosing Party as evidenced by contemporaneous written records; (c) is rightfully received by the Receiving Party from a third party without restriction and without breach of a confidentiality obligation; or (d) is independently developed by employees or agents of the Receiving Party who had no access to the Disclosing Party's Confidential Information.

3. OBLIGATIONS OF RECEIVING PARTY

3.1 The Receiving Party shall (a) hold the Confidential Information in strict confidence using at least the same degree of care it uses to protect its own confidential information but in no event less than reasonable care; (b) use the Confidential Information solely for the Purpose; and (c) not disclose Confidential Information to any third party except as expressly permitted by this Agreement.

3.2 The Receiving Party may disclose Confidential Information only to its employees, contractors and professional advisors who have a strict need to know for the Purpose and who are bound by confidentiality obligations at least as protective as those contained herein. The Receiving Party shall remain liable for any breach of this Agreement by such persons.

4. COMPULSORY DISCLOSURE

4.1 If the Receiving Party is compelled by law, regulation, or validly issued subpoena or order to disclose any Confidential Information, the Receiving Party shall, to the extent legally permitted, provide the Disclosing Party with prompt written notice of such requirement so that the Disclosing Party may seek a protective order or other appropriate remedy and/or waive compliance with the provisions of this Agreement. If such protective order or remedy is not obtained, the Receiving Party may disclose only that portion of the Confidential Information legally required to be disclosed and shall use reasonable efforts to obtain confidential treatment for any disclosed Confidential Information.

5. TERM AND SURVIVAL

5.1 This Agreement shall commence on the Effective Date and shall continue for a period of (the "Term"), unless earlier terminated by mutual written agreement. Notwithstanding any termination, the Receiving Party's obligations with respect to Confidential Information shall survive for a period of after the date of termination, except that trade secrets shall remain protected for so long as they qualify as trade secrets under applicable law.

6. RETURN AND DESTRUCTION

6.1 Upon written request of the Disclosing Party or upon termination of this Agreement, the Receiving Party shall promptly return or destroy, at the Disclosing Party's election, all documents and materials (and all copies and extracts thereof) containing Confidential Information and shall certify in writing the completion of such return or destruction, except that the Receiving Party may retain one archival copy for compliance and record-keeping purposes subject to the confidentiality obligations of this Agreement.

7. REMEDIES

7.1 The Receiving Party acknowledges that any unauthorized disclosure or use of Confidential Information may cause irreparable harm to the Disclosing Party for which monetary damages may be inadequate. Accordingly, the Disclosing Party shall be entitled to seek injunctive relief and any other equitable remedies in addition to any other remedies available at law or in equity.

8. LIMITATION OF LIABILITY

8.1 Except for breaches of Sections 3 (Obligations of Receiving Party) and 7 (Remedies), in no event shall either party be liable to the other for any indirect, special, consequential, incidental, punitive or exemplary damages arising out of or related to this Agreement, whether in contract, tort or otherwise, even if advised of the possibility of such damages.

9. NOTICES

9.1 All notices required or permitted hereunder shall be in writing and shall be deemed given when delivered personally, sent by certified mail (return receipt requested), or sent by nationally recognized overnight courier, to the addresses set forth above or to such other address as either party may designate by written notice to the other.

10. AMENDMENT AND WAIVER

10.1 This Agreement may be amended or modified only by a writing signed by duly authorized representatives of both parties. No failure or delay by either party in exercising any right hereunder shall operate as a waiver thereof, nor shall any single or partial exercise of any right preclude other or further exercises of that or any other right.

11. GOVERNING LAW; JURISDICTION

11.1 This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties hereby submit to the exclusive jurisdiction of the state and federal courts located within that State for resolution of any disputes arising out of or relating to this Agreement.

12. ENTIRE AGREEMENT; SEVERABILITY

12.1 This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect and the invalid or unenforceable provision shall be reformed to the minimum extent necessary to make it enforceable.

13. COUNTERPARTS

13.1 This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures delivered by electronic means shall be effective for all purposes.
