LEGAL CONFIRMATION AGREEMENT

RECITALS

WHEREAS, the parties entered into a prior agreement identified as Prior Agreement dated (Prior Agreement) relating to certain obligations and rights described therein;

WHEREAS, the parties intend by this Agreement to provide a binding written confirmation of the matters set forth below and to restrict reliance to the terms expressly confirmed herein.

NOW, THEREFORE, in consideration of the foregoing recitals and the mutual covenants set forth in this Agreement, the parties agree as follows:

1. DEFINITIONS

For purposes of this Agreement, the following terms shall have the meanings set forth below. "Confirmed Matters" means the specific obligations, deliverables, payment amounts and dates described in Section 2. "Effective Date" means the date set forth above. "Prior Agreement" means the agreement referenced in the Recitals.

2. CONFIRMATION OF MATTERS

2.1 Confirmation. Each party hereby confirms that the following matters are true and accurate as of the Effective Date and are incorporated into the Prior Agreement by this written confirmation:

3. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants to the other that: (a) it is duly organized and validly existing under applicable law and has full power and authority to enter into and perform this Agreement; (b) the execution and delivery of this Agreement and performance of its obligations do not and will not conflict with or constitute a breach or default under any other instrument or agreement binding on such party; and (c) the person signing on its behalf is duly authorized to execute this Agreement.

4. EFFECT OF CONFIRMATION; NO NOVATION

4.1 The parties agree that this Agreement constitutes a written confirmation of the Confirmed Matters and does not, unless expressly stated herein, release, waive or modify any other rights or remedies available under the Prior Agreement or applicable law, except to the extent expressly set forth in Section 2.

4.2 This Agreement shall not be construed as a novation unless an authorized representative of each party executes a written amendment explicitly replacing the Prior Agreement.

5. CONFIDENTIALITY

The parties acknowledge that information exchanged in connection with the Confirmed Matters may constitute Confidential Information under the Prior Agreement. Except as expressly permitted by the Prior Agreement or required by law, neither party shall disclose such Confidential Information. This Section survives termination of this Agreement.

6. NOTICES

All notices, requests, consents and other communications required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or such other address as a party may specify in writing pursuant to this Section.

7. AMENDMENT; WAIVER

No amendment or waiver of any provision of this Agreement shall be effective unless made in writing and signed by authorized representatives of both parties. No failure or delay in exercising any right shall operate as a waiver of that right.

8. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction selected by the parties: Governing Law State/Province: , without regard to conflict of laws principles.

9. ENTIRE AGREEMENT

This Agreement, together with the Prior Agreement as expressly incorporated herein, constitutes the entire agreement between the parties with respect to the Confirmed Matters and supersedes all prior written or oral statements specifically addressing the Confirmed Matters.

10. SEVERABILITY

If any provision of this Agreement is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect and the invalid or unenforceable provision shall be reformed to the maximum extent necessary to make it enforceable.

11. COUNTERPARTS; EXECUTION

This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures delivered by electronic transmission or facsimile shall be binding for all purposes.
