5. INDEMNIFICATION

5.1 Each party agrees to indemnify, defend and hold harmless the other party and its officers, directors, employees and agents from and against any and all losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of or resulting from a breach of any representation, warranty or covenant contained in this Statement.

6. LIMITATION OF LIABILITY

6.1 Except for liability arising from fraud, willful misconduct or a party's indemnification obligations hereunder, neither party shall be liable to the other for consequential, special, incidental or punitive damages, even if advised of the possibility of such damages.
