LEGAL CONFLICT DISCLOSURE FORM

This Legal Conflict Disclosure Form (the "Form") is made as of between Disclosing Party Name: (hereinafter "Disclosing Party") and Recipient Name: (hereinafter "Recipient").

RECITALS

WHEREAS, Disclosing Party is a party to or proposes to undertake legal representation, advisory services, or a transaction involving one or more matters affecting the interests of Disclosing Party and/or certain third parties; and

WHEREAS, Recipient requires disclosure of any actual or potential conflicts of interest, as well as any material facts that could reasonably be expected to affect the Recipient's decision to consent to continued representation or to retain Disclosing Party; and

WHEREAS, the parties intend to set forth in writing the disclosures, assessments, and any consents or waivers relating to the disclosed matters.

NOW, THEREFORE

In consideration of the mutual promises herein, the parties agree as follows.

1. DEFINITIONS

For purposes of this Form: (a) "Conflict" means any actual, potential, or imputed interest, relationship, or representation that reasonably could adversely affect the impartiality, independence, or duties of Disclosing Party; (b) "Matter" means any legal matter, transaction, claim, litigation, arbitration, or proceeding identified in this Form; and (c) "Material" means reasonably significant to a decision to consent to continued representation or to retain counsel.

2. NATURE OF DISCLOSURE

Disclosing Party hereby discloses the existence of the following categories of potential or actual conflicts. Check all that apply and provide detail where indicated.

3. DESCRIPTION OF MATTERS AND FACTS

Provide a full and specific description of each Matter, the nature of the Conflict, the parties and entities involved, and all material facts known to Disclosing Party relevant to the Conflict.

4. MATERIALITY ASSESSMENT

Disclosing Party has evaluated the known facts and reasonably concludes that the Conflict is:

Not material and will not affect the ability to provide competent, diligent, and independent representation; or
Material to the decision whether Recipient will consent to continued representation. If checked, state the basis for materiality determination below.

5. MITIGATION AND SCREENING

To address the disclosed Conflict, Disclosing Party proposes the following mitigation measures. These measures are intended to protect confidentiality, prevent the flow of information, and preserve the integrity of representation.

Disclosing Party acknowledges that such measures may be subject to ongoing review and that further measures may be required to obtain or maintain Recipient's consent.

6. CONSENT; WAIVER

Recipient may provide written informed consent to Disclosing Party's continued representation notwithstanding the disclosed Conflict. By signing below, Recipient either:

Does not consent and requires Disclosing Party to decline or withdraw from representation in the specified Matter(s).

Any consent by Recipient constitutes an informed, voluntary, and uncoerced waiver of the right to object to the disclosed Conflict as described herein. Such consent is limited to the circumstances and matters disclosed and is revocable if based on materially inaccurate or incomplete information.

7. CONFIDENTIALITY AND DISCLOSURES

Except as required by law, regulation, or ethical duty, the parties shall keep the contents of this Form and any related communications confidential. Disclosing Party shall not use Recipient's confidential information in any matter adverse to Recipient and shall implement reasonable safeguards to prevent unauthorized disclosure.

8. REMEDIES AND RELIEF

If it is later determined that Disclosing Party failed to disclose a material Conflict or knowingly provided materially false information, Recipient may seek available remedies, including but not limited to withdrawal of consent, termination of representation, disgorgement of fees to the extent permitted by law, and indemnification for losses directly resulting from the undisclosed Conflict. Disclosing Party agrees to cooperate in any reasonable investigation of such matters.

All notices, requests, consents, and other communications required or permitted under this Form shall be in writing and delivered as follows:

This Form shall be governed by and construed in accordance with the laws of the state specified below. Any dispute arising out of or relating to this Form shall be subject to the exclusive jurisdiction of the state and federal courts located in the state indicated.

11. ENTIRE AGREEMENT; SEVERABILITY

This Form constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior oral and written agreements and understandings concerning the disclosed Conflict. If any provision of this Form is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

12. AMENDMENT; WAIVER; COUNTERPARTS

This Form may be amended or modified only by a written instrument executed by both parties. No waiver of any provision shall be effective unless set forth in a signed writing. This Form may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.
