RECITALS

1. AUTHORIZATION

1.1 Client hereby grants Agent the authority to commence, prosecute, defend, settle, or otherwise resolve legal claims, proceedings, and negotiations related to the matter described in this Consent, subject to the Scope and Limitations set forth in Sections 2 and 3 below. Such authority includes the execution of pleadings, applications, settlement agreements, releases, and other instruments necessary to effectuate the purposes of this Consent.

2. SCOPE OF AUTHORITY

2.1 The specific actions authorized under this Consent are described as follows (check all that apply and describe where applicable):

 Initiate litigation, file suit, and pursue statutory remedies.

 Negotiate and enter into settlement agreements and releases.

 Initiate or participate in mediation, arbitration, or other alternative dispute resolution.

3. LIMITATIONS AND REQUIRED CONSENTS

3.1 Agent shall not enter into any settlement or make any admission that: (a) obligates Client to pay more than the monetary limit set forth below; (b) materially alters Client's ownership rights; or (c) releases third-party claims not expressly authorized by Client, unless Client provides written prior consent as provided in Section 9. Nothing in this Consent authorizes Agent to incur indebtedness on behalf of Client beyond amounts expressly approved pursuant to Section 4.

4. COSTS, FEES AND RETAINER

4.1 Client agrees to compensate Agent pursuant to the fee arrangement set forth below. Client authorizes Agent to incur reasonable costs and expenses necessary to the prosecution or defense of the matter, subject to Client's express approval where required by Section 3.

5. REPRESENTATIONS, WARRANTIES AND ACKNOWLEDGMENTS

5.1 Each party represents and warrants that it has full power and authority to enter into this Consent and to perform its obligations hereunder. Client further acknowledges that Agent has explained the material risks, potential benefits, and reasonable alternatives associated with the authorized actions, and Client understands and accepts those risks.

6. INDEMNIFICATION

6.1 Client agrees to indemnify and hold harmless Agent from and against any and all claims, liabilities, losses, expenses and costs (including reasonable attorneys' fees) arising from Agent's good faith performance of the actions authorized by this Consent, except to the extent caused by Agent's willful misconduct, gross negligence or material breach of this Consent.

7. CONFIDENTIALITY

7.1 Agent shall maintain in confidence all nonpublic information received from Client in connection with the matters described herein, except as necessary to carry out the authorized actions, to comply with professional obligations, or as otherwise required by law.

8. NOTICES

8.1 All notices, requests or other communications required or permitted under this Consent must be in writing and shall be delivered by hand, certified mail (return receipt requested), or overnight courier to the addresses set forth below or to such other address as a party may designate in writing.

9. AMENDMENTS; WAIVER

9.1 This Consent may be amended or modified only by a written instrument executed by both Client and Agent. No failure or delay by either party in exercising any right under this Consent shall operate as a waiver of such right, nor shall any single or partial exercise of any right preclude any other or further exercise of that right or the exercise of any other right.

10. GOVERNING LAW

10.1 This Consent shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles.

11. ENTIRE AGREEMENT

11.1 This Consent constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written, between the parties relating thereto.

12. SEVERABILITY
