LEGAL CONSENT AGREEMENT

RECITALS

WHEREAS, First Party desires to grant or obtain a consent to certain activities and to define the terms and limitations of that consent;

WHEREAS, Second Party represents that it has the authority to accept, restrict, or condition such consent on the terms set forth herein and agrees to provide or receive the permissions described below;

WHEREAS, the parties intend by this Agreement to memorialize the scope, duration, conditions for revocation, and remedies related to such consent.

NOW, THEREFORE

In consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

1. CONSENT GRANT

1.1 Consent. Subject to the terms and conditions of this Agreement, First Party hereby grants to Second Party the limited consent to: The consent granted is non-exclusive and is limited to the specific activities expressly described in the preceding paragraph.

1.2 Conditions. Consent is expressly conditioned upon compliance by the consenting party with all applicable laws, regulations, and the terms set forth in Section 3 (Obligations).

2. TERM; REVOCATION

2.1 Term. The consent granted under this Agreement commences on and, unless earlier terminated in accordance with this Agreement, shall expire on .

2.2 Revocation. Either party may revoke the consent for material breach by the other party upon providing written notice in accordance with Section 8 (Notices). Non-material revocation requires days' prior written notice to the other party.

3. OBLIGATIONS OF THE PARTIES

3.1 Compliance. Each party shall perform its obligations under this Agreement in good faith and in compliance with all applicable laws, rules and regulations. Each party shall use commercially reasonable measures to protect confidential information disclosed in connection with the consent.

3.2 Restrictions. The receiving party shall not assign, sublicense, transfer, or otherwise convey the consent granted, in whole or in part, without the prior written consent of the granting party, which consent shall not be unreasonably withheld.

4. CONFIDENTIALITY

4.1 Confidential Information. Confidential Information means non-public information disclosed by one party to the other in connection with this Agreement that is identified as confidential or that reasonably should be understood to be confidential. The receiving party shall not disclose Confidential Information except to those of its employees, agents, or contractors who have a need to know and who are bound by confidentiality obligations at least as protective as those in this Agreement.

5. INDEMNIFICATION AND LIMITATION OF LIABILITY

5.1 Indemnification. Each party (the "Indemnifying Party") shall indemnify, defend and hold harmless the other party (the "Indemnified Party") from and against any third-party claim, loss, liability or expense arising out of the Indemnifying Party's breach of this Agreement or its gross negligence or willful misconduct.

5.2 Limitation. Except for liabilities arising from gross negligence, willful misconduct, or a party's breach of its confidentiality obligations, neither party's aggregate liability for any claim arising under or related to this Agreement shall exceed .

6. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that (a) it has the full right, power and authority to enter into this Agreement and to grant or accept the consent described herein; (b) the execution and performance of this Agreement will not violate any agreement, law or court order binding such party; and (c) all corporate or other organizational approvals required for the execution and delivery of this Agreement have been obtained.

7. TERMINATION

7.1 Termination for Cause. Either party may terminate this Agreement for cause on written notice if the other party materially breaches any provision of this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

7.2 Effect of Termination. Upon termination or expiration of this Agreement, (a) all consents granted hereunder shall cease, except as otherwise expressly provided herein, and (b) the parties' obligations that by their nature are intended to survive termination shall survive.

8. NOTICES

All notices, demands or other communications required or permitted under this Agreement shall be in writing and shall be deemed given when delivered personally, sent by certified mail (return receipt requested), or sent by a nationally recognized overnight courier to the parties at their addresses set forth below or at such other address as either party may designate by notice given in accordance with this Section.

9. AMENDMENTS; WAIVER; COUNTERPARTS

9.1 Amendments. No amendment or modification of this Agreement shall be effective unless made in writing and signed by authorized representatives of both parties.

9.2 Waiver. No failure or delay by either party in exercising any right under this Agreement shall operate as a waiver of that right, and no single or partial exercise of any right shall preclude any other or further exercise thereof.

9.3 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures transmitted electronically shall be deemed original signatures for all purposes.

10. MISCELLANEOUS

10.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles.

10.2 Entire Agreement. This Agreement, including all exhibits and schedules attached hereto (if any), constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and representations, whether written or oral.

10.3 Severability. If any provision of this Agreement is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect and the invalid or unenforceable provision shall be replaced with a valid provision that most closely approximates the parties' intent.
