This Legal Consent and Authorization Form ("Agreement") is made and entered into as of Effective Date: by and between Client Name: (hereinafter "Client") and Authorized Recipient Name: (hereinafter "Recipient").

RECITALS

WHEREAS, Client possesses personal, medical, financial, employment, and other records and information that Client desires to permit to be accessed, used and disclosed by Recipient for the purposes set forth in this Agreement; and

WHEREAS, Recipient requires express written authorization from Client to obtain, receive, and disclose such information, and Client wishes to provide such authorization subject to the terms and limitations of this Agreement; and

WHEREAS, the parties intend that this Agreement serve as the written consent and authorization necessary to permit disclosure and use of Client's information to the extent described herein.

NOW THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. AUTHORIZATION AND SCOPE

1.1 Authorization. Client hereby authorizes Recipient to access, obtain, review, use, and disclose Client's records and information described below to the extent necessary to accomplish the Purpose defined in Section 1.2. This authorization includes release of written records, electronic records, and verbal communications made in connection with those records.

1.2 Purpose. The Purpose of this authorization is:

2.2 Third Parties. Recipient may disclose information to third parties only to the extent required to accomplish the Purpose and subject to confidentiality obligations consistent with Section 3. Any subcontractor or agent to whom Recipient discloses information shall be bound by written obligations at least as protective as those contained in this Agreement.

3. USE AND CONFIDENTIALITY

3.1 Use Limitation. Recipient shall use disclosed information solely for the Purpose set forth in Section 1.2 and shall not use the information for any unrelated commercial purpose.

3.2 Confidentiality Obligations. Recipient shall maintain the confidentiality of disclosed information and implement reasonable administrative, technical, and physical safeguards to protect against unauthorized use or disclosure. Recipient shall promptly notify Client in writing upon becoming aware of any unauthorized access, use, or disclosure.

4. REPRESENTATIONS AND WARRANTIES

4.1 Client Representation. Client represents and warrants that Client has the legal authority to execute this Agreement and to authorize the disclosure and use of the information described herein. Client further represents that all information provided to Recipient is true and correct to the best of Client's knowledge.

4.2 Recipient Representation. Recipient represents that it will comply with the terms of this Agreement and applicable law in handling protected information, and that it will not condition services or benefits on Client's execution of this authorization unless such condition is expressly permitted by law.

5. FEES AND COSTS

Recipient may charge reasonable, documented fees for copying, reproduction, or delivery of records. Any such fees shall not exceed amounts permitted by applicable law. Describe agreed fee arrangement (if any):

6. REVOCATION

6.1 Right to Revoke. Client may revoke this authorization at any time by providing written notice of revocation to Recipient at the Notice Address in Section 10. Revocation is effective upon Recipient's actual receipt of the written revocation, except to the extent Recipient has already acted in reliance on this authorization or where a statute or court order permits continued use.

6.2 Exceptions. This authorization will not revoke actions taken by Recipient in reasonable reliance on this authorization prior to receipt of revocation, nor will it affect disclosures made pursuant to a valid court order or as otherwise required by law.

7. INDEMNIFICATION; LIMITATION OF LIABILITY

7.1 Indemnification. Client agrees to indemnify, defend, and hold harmless Recipient and its officers, employees, and agents from and against any losses, claims, damages, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of Client's breach of this Agreement or Client's misrepresentation of authority to authorize disclosure.

7.2 Limitation. Except for willful misconduct or gross negligence, neither party shall be liable to the other for punitive, incidental, consequential, or special damages arising out of performance under this Agreement.

8. TERM; TERMINATION

8.1 Term. This Agreement is effective as of the Effective Date set forth above and shall continue until the earlier of the expiration date in Section 1.4, revocation pursuant to Section 6, or termination by written agreement of the parties.

8.2 Survival. Provisions that by their nature should survive termination or expiration (including confidentiality, indemnity, governing law, and limitations) shall survive.

9. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered by personal delivery, certified mail, or email to the addresses provided below. Notice is effective upon actual receipt.

10. MISCELLANEOUS

10.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of: without regard to conflict of laws principles.

10.2 Amendments. Any amendment or modification of this Agreement must be in writing and signed by both parties to be effective.

10.3 Waiver. No waiver of any provision of this Agreement shall be effective unless in writing and signed by the party waiving such right. A waiver of any breach shall not be deemed a waiver of any subsequent breach.

10.4 Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.

10.5 Severability. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect and the parties shall negotiate in good faith to replace the invalid provision with a valid provision accomplishing the original intent as closely as possible.

10.6 Counterparts; Electronic Signatures. This Agreement may be executed in counterparts, each of which shall be deemed an original and together shall constitute one and the same instrument. Facsimile, scanned, or electronic signatures shall be deemed to be original signatures for all purposes.

By signing below, Client acknowledges that Client has read and understands this Authorization, that Client's questions (if any) have been answered, that Client authorizes the disclosures described herein voluntarily, and that Client may receive a copy of this signed Authorization upon request.
