LEGAL CONSENT AND RATIFICATION FORM

RECITALS

WHEREAS, the Parties desire to set forth their agreement and respective obligations with respect to such consent and ratification.

NOW THEREFORE, in consideration of the mutual covenants and agreements contained herein and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

1. DEFINITIONS

Capitalized terms used in this Agreement shall have the meanings set forth herein. "Underlying Acts" means all actions, contracts, agreements, instruments, conveyances, resolutions and other acts described in the Schedule of Underlying Acts below and any amendments thereto agreed in writing by the Parties.

2. CONSENT

The Consenting Party hereby expressly and unconditionally consents to the Underlying Acts and to any actions reasonably necessary to effectuate or give full force and effect to the Underlying Acts, including, without limitation, the execution, delivery and performance of such documents and instruments as may be necessary or appropriate in the reasonable judgment of the Ratified Party.

3. RATIFICATION

The Consenting Party hereby ratifies and confirms all past acts, agreements and instruments executed or undertaken by or on behalf of the Ratified Party in connection with the Underlying Acts, and acknowledges that such acts shall be deemed valid, binding and enforceable as if originally authorized by the Consenting Party.

4. SCHEDULE OF UNDERLYING ACTS

5. REPRESENTATIONS AND WARRANTIES

Each Party represents and warrants to the other that: (a) it is duly organized, validly existing and in good standing under the laws of the jurisdiction of its organization; (b) it has the power, authority and corporate or other requisite action to execute, deliver and perform this Agreement; (c) this Agreement is a legal, valid and binding obligation enforceable against it in accordance with its terms; and (d) the execution, delivery and performance of this Agreement do not and will not violate any law, contract, judgment, order or other instrument binding on such Party.

6. AUTHORITY

The person executing this Agreement on behalf of each Party hereby certifies that such person is authorized to execute this Agreement on behalf of the Party and to bind the Party to all terms hereof.

7. EFFECT OF CONSENT

This Agreement shall not be deemed to release, discharge or otherwise impair any rights, claims or defenses of any Party except as expressly set forth herein. Except as expressly provided, consent and ratification shall not constitute a waiver of any right or remedy available at law or in equity.

8. NOTICES

All notices, demands or other communications required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or at such other address as a Party may designate by notice to the other Party in accordance with this Section. Notices shall be deemed given when delivered in person, or three (3) business days after deposit with a nationally recognized overnight courier, or, if mailed, five (5) business days after deposit in the mail.

9. AMENDMENTS; WAIVER

This Agreement may be amended or modified only by a written instrument signed by both Parties. No failure or delay by any Party in exercising any right shall operate as a waiver thereof, nor shall any single or partial exercise of any right preclude any other or further exercise of such right or the exercise of any other right.

10. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the internal laws of the jurisdiction selected by the Parties. Jurisdiction: , without regard to conflict of laws principles.

11. ENTIRE AGREEMENT

The headings in this Agreement are for convenience only and shall not affect its interpretation. The Parties agree to execute such further documents and take such further actions as may be reasonably necessary to effectuate the purposes of this Agreement.
