LEGAL CONSENT AND WAIVER

This Legal Consent and Waiver (the "Agreement") is entered into as of Date: by and between Party A Name: with address: ("Provider/Releasee") and Party B Name: with address: ("Participant/Releasor").

RECITALS

WHEREAS, Provider/Releasee provides certain activities, services or facilities described as: (the "Activity"); and

WHEREAS, Participant/Releasor desires to participate in the Activity and to receive or permit certain services and understands that participation involves inherent risks; and

WHEREAS, Provider/Releasee requires that Participant/Releasor provide this written consent and waiver as a condition to participation.

NOW, THEREFORE

In consideration of the mutual covenants and promises herein contained and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

1. CONSENT AND ACKNOWLEDGMENT

Participant expressly consents to participate in the Activity and to receive such services as are offered by Provider. Participant acknowledges that Participant has read, understands, and accepts the nature of the Activity, the rules governing participation, and all instructions provided by Provider. Participant acknowledges that participation is voluntary and that Participant is not under the influence of alcohol, drugs, or any other impairing substance at the time of signing.

2. ASSUMPTION OF RISK

Participant understands and accepts that participation in the Activity involves risks including, but not limited to, physical injury, property damage, and death. Participant knowingly and voluntarily assumes all such risks, whether described in this Agreement or not, including risks arising from the negligence of Provider, its agents, employees, independent contractors, volunteers or other participants, except to the extent expressly limited by applicable law.

3. WAIVER AND RELEASE

To the fullest extent permitted by law, Participant, on behalf of Participant and Participant's heirs, personal representatives, successors, and assigns, hereby releases, waives, discharges, and covenants not to sue Provider/Releasee and its affiliates, officers, directors, employees, agents and contractors (collectively, the "Released Parties") from any and all liability, claims, demands, causes of action, losses, or damages (including attorney's fees and costs) arising out of or in any way connected with Participant's participation in the Activity, including but not limited to claims arising from the negligence of a Released Party, except for claims resulting solely from the gross negligence or willful misconduct of a Released Party.

4. INDEMNIFICATION

Participant agrees to indemnify, defend and hold harmless the Released Parties from and against any and all third-party claims, liabilities, losses, damages, costs and expenses (including reasonable attorney's fees) arising out of or resulting from Participant's negligent acts or omissions, breach of this Agreement, or willful misconduct in connection with the Activity.

5. MEDICAL AUTHORIZATION

If Participant is injured or requires medical attention while participating in the Activity, Participant authorizes Provider to obtain or provide emergency medical treatment as reasonably necessary. Participant understands that Participant is responsible for any costs of such medical care.

6. REPRESENTATIONS

Participant represents and warrants that Participant is legally competent to execute this Agreement and, if applicable, has obtained any required parental or guardian consent. Participant further represents that Participant has no physical or mental condition that would make participation in the Activity more hazardous.

7. TERM AND TERMINATION

This Agreement is effective as of the effective date set forth above and shall remain in full force and effect for the duration of Participant's participation in the Activity and for any period during which liability related to such participation may arise. Provider may terminate Participant's participation for violation of rules or unsafe conduct, in which case this Agreement remains effective with respect to claims arising prior to termination.

8. PUBLICITY AND CONFIDENTIALITY

Participant consents to Provider's use of photographs, video or audio recordings taken during the Activity for promotional, educational, or archival purposes, unless Participant opts out by checking below.

9. NOTICES

All notices required or permitted under this Agreement must be in writing and delivered to the addresses provided above by hand delivery, nationally recognized courier, or certified mail. Notice is effective upon receipt.

10. AMENDMENTS; WAIVER

No amendment, modification or waiver of any provision of this Agreement will be effective unless in writing and signed by both parties. No failure or delay by any party in exercising any right will operate as a waiver of that right.

11. GOVERNING LAW

This Agreement will be governed by and construed in accordance with the laws of the State of: without regard to conflict of law principles. Venue for any dispute arising under this Agreement shall be the state or federal courts located in the chosen jurisdiction.

12. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties concerning the subject matter herein and supersedes all prior negotiations, representations or agreements, whether written or oral.

13. SEVERABILITY

If any provision of this Agreement is held to be invalid, illegal or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect and will be construed so as to best effectuate the intent of the parties.

14. COUNTERPARTS; ELECTRONIC SIGNATURES

This Agreement may be executed in counterparts, each of which will be deemed an original and all of which together constitute one instrument. Signatures transmitted by electronic means shall be deemed originals for all purposes.
