This Legal Consent Authorization Form ("Agreement") is made effective as of by and between Consenting Party: , with principal address , and Recipient: , with principal address .

RECITALS

WHEREAS, the Consenting Party possesses certain information, records, or interests that the Consenting Party desires to authorize the Recipient to access, receive, disclose, or act upon under the terms set forth herein; and

WHEREAS, the Recipient requires the Consenting Party's express authorization to obtain, use, or disclose such information for specific purposes described in this Agreement; and

WHEREAS, the parties intend that this Agreement constitute a legally enforceable authorization for the limited purposes and duration expressly stated below.

NOW, THEREFORE

In consideration of the mutual covenants and agreements contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. AUTHORIZATION

The Consenting Party hereby authorizes the Recipient to obtain, inspect, reproduce, use, and disclose the Consenting Party's information described below (the "Authorized Information") for the purposes and to the extent expressly set forth in this Agreement. This authorization is limited to the scope, duration, and recipients expressly identified in Section 2 and Section 3.

2. SCOPE, PURPOSE, AND DURATION

2.1 Scope: The Recipient may access and use only the Authorized Information specifically identified in this Agreement. Absent separate written authorization, the Recipient shall not access other records or information of the Consenting Party.

2.2 Purpose: The Authorized Information may be used by the Recipient solely for the following stated purpose(s):

The Consenting Party may revoke this authorization at any time by providing written notice of revocation to the Recipient. Revocation does not affect disclosures already made in reliance upon this authorization prior to receipt of the revocation. To be effective, notice of revocation must be delivered to the Recipient at the contact information specified in Section 9.

5. REPRESENTATIONS AND WARRANTIES

The Consenting Party represents and warrants that the Consenting Party has the full right and authority to authorize the disclosure and use of the Authorized Information as set forth in this Agreement, that such authorization will not violate any other agreement or legal duty, and that the information provided to the Recipient is accurate to the best of the Consenting Party's knowledge.

The Recipient represents and warrants that it will use and disclose Authorized Information only as permitted by this Agreement and applicable law, and that it will implement reasonable safeguards to protect Confidential Information from unauthorized disclosure.

6. CONFIDENTIALITY AND DATA SECURITY

The Recipient shall treat Authorized Information as confidential and shall not disclose it except as expressly permitted in this Agreement or as required by law. The Recipient shall maintain appropriate administrative, technical, and physical safeguards designed to protect the Authorized Information against unauthorized access, use, or disclosure.

7. INDEMNIFICATION

The Recipient shall indemnify, defend, and hold harmless the Consenting Party from and against any and all losses, liabilities, costs, damages, and expenses (including reasonable attorneys' fees) arising from the Recipient's breach of this Agreement or the Recipient's negligent or willful misuse or unauthorized disclosure of the Authorized Information.

8. LIMITATION OF LIABILITY

Except for willful misconduct or gross negligence, neither party shall be liable to the other for incidental, consequential, punitive, or special damages arising out of this Agreement, whether in contract, tort, or otherwise.

9. NOTICES

All notices, requests, consents, claims, demands, waivers, and other communications hereunder shall be in writing and delivered to the parties at the addresses set forth below or to such other address that a party may designate by written notice to the other party.

10. AMENDMENTS; WAIVER

No amendment, modification, or waiver of any provision of this Agreement shall be effective unless set forth in a written instrument signed by both parties. No failure or delay by either party in exercising any right under this Agreement shall operate as a waiver of that right.

11. GOVERNING LAW; VENUE

This Agreement shall be governed by and construed in accordance with the laws of the state specified below, without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in the county specified below for any action arising out of or relating to this Agreement.

12. ENTIRE AGREEMENT; SEVERABILITY

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, communications, and understandings, whether oral or written. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

13. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures transmitted by electronic means shall be deemed original signatures for all purposes.

CERTIFICATION

The Consenting Party certifies that the statements made in this Agreement are true and that the Consenting Party is signing voluntarily. The Consenting Party acknowledges that the Recipient may rely upon this authorization and that any third party who receives the Authorized Information may rely upon the accuracy of this authorization.
