LEGAL CONSENT DECLARATION

2. GRANT OF CONSENT

Subject to the terms and conditions of this Declaration, Party A hereby expressly grants to Party B a limited, non-exclusive, non-transferable Consent to:

(a) perform the acts described in Exhibit A: ; and

(b) to the limited extent necessary, access, use, disclose, or act upon the Subject solely for the Purpose described above and only in accordance with this Declaration.

3. SCOPE AND LIMITATIONS

The Consent granted under this Declaration shall be limited to the Scope described in Exhibit A and no other rights, title, or interest in the Subject are conveyed. Party B shall not assign, sublicense, or otherwise transfer the Consent without prior written authorization from Party A.

Party B shall act in good faith and in a commercially reasonable manner and shall comply with all applicable laws and regulations in exercising the Consent.

4. DURATION; TERMINATION; REVOCATION

The Consent shall commence on the Effective Date and shall continue until , unless earlier revoked or terminated in accordance with this Section. Party A may revoke the Consent at any time by providing written notice to Party B in accordance with Section 10. Revocation shall be effective on the date specified in the revocation notice; provided that actions taken by Party B in good faith prior to the effective revocation date shall remain valid to the extent necessary to conclude such actions.

5. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that: (a) it has the full corporate or legal power and authority to enter into and perform this Declaration; (b) the person executing this Declaration on its behalf is duly authorized to do so; and (c) the execution and performance of this Declaration will not violate any other agreement or applicable law to which it is subject.

6. CONFIDENTIALITY

Any confidential information exchanged or accessed pursuant to this Declaration shall be held in confidence and shall not be disclosed to third parties except as expressly permitted herein or as required by law. Confidential information shall be used solely for the Purpose.

7. INDEMNIFICATION

Party B shall indemnify, defend and hold harmless Party A and its officers, directors, employees, agents and representatives from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of or resulting from Party B's breach of this Declaration or Party B's negligent or willful acts or omissions in exercising the Consent.

8. LIMITATION OF LIABILITY

EXCEPT FOR LIABILITY ARISING FROM GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR INDEMNIFICATION OBLIGATIONS HEREIN, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES.

9. COMPLIANCE WITH LAWS

Each party shall comply with all applicable laws, rules and regulations in the performance of its obligations under this Declaration. Party B shall obtain and maintain any permits or approvals required to exercise the Consent.

All notices required or permitted under this Declaration shall be in writing and shall be delivered by hand, by nationally recognized overnight courier, or by certified mail (return receipt requested) to the addresses set forth above and shall be deemed given upon receipt.

11. AMENDMENTS; WAIVER; COUNTERPARTS

This Declaration may be amended or modified only by a written instrument signed by both parties. No waiver of any provision of this Declaration shall be effective unless in writing and signed by the party against whom the waiver is sought to be enforced. This Declaration may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.

12. GOVERNING LAW

This Declaration shall be governed by and construed in accordance with the laws of the jurisdiction specified below, without regard to conflict of law principles.

13. ENTIRE AGREEMENT; SEVERABILITY

This Declaration constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. If any provision of this Declaration is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14. MISCELLANEOUS

Headings are for convenience only and shall not affect interpretation. The obligations and rights set forth in Sections 4, 6 and 7 shall survive termination or expiration of this Declaration to the extent necessary to effect their intent.
