1. Definitions

For purposes of this Consent, the following terms have the meanings set forth below: "Electronic Record" means a record created, stored or transmitted in electronic form. 2. Consent to Electronic Records and Signatures

Each party hereby expressly consents to the use of Electronic Records and Electronic Signatures in lieu of paper records and handwritten signatures for all documents related to the parties' transactions, to the fullest extent permitted by applicable law. Such consent applies to all current and future transactions between the parties unless and until revoked in accordance with Section 6 below.

3. Scope of Consent

This Consent applies to all communications, disclosures, notices, contracts, amendments, authorizations, acknowledgements and other records arising out of or in connection with the parties' dealings, regardless of whether such records are required by law to be in writing. The parties agree that Electronic Records satisfying the criteria of authenticity and integrity under applicable law shall have the same legal effect as paper originals.

4. Electronic Signature Methods

Electronic Signatures may include, without limitation: (a) a typed name executed in a record; (b) a signature created using an electronic signature platform or service; or (c) a scanned image of a handwritten signature appended to an electronic record. The parties agree that any of the foregoing methods satisfy the parties' intent to sign and shall be valid, binding and enforceable.

Each party represents that it has the necessary hardware and software to receive, access, and retain Electronic Records. At a minimum, the party must have an Internet-capable device, an up-to-date web browser or application capable of rendering the records, and software necessary to view common document formats. 6. Withdrawal of Consent

A party may withdraw consent to receive Electronic Records by providing written notice to the other party in accordance with Section 9. Withdrawal of consent shall be effective only after receipt of such notice and a reasonable opportunity to act on it. Withdrawal of consent will not affect the legal validity or enforceability of Electronic Records and Electronic Signatures made prior to the effective date of withdrawal.

7. Record Retention and Copies

The parties agree that Electronic Records shall be retained in a manner that reasonably assures their accuracy and accessibility for future reference. Upon request, a party shall provide the other party a legible copy of any Electronic Record in paper or electronic form within a commercially reasonable time.

9. Representations and Warranties

Each party represents and warrants that: (a) it has the full power and authority to enter into this Consent; (b) the person signing on its behalf is authorized to consent to electronic records and signatures; and (c) the execution and delivery of Electronic Records and Electronic Signatures will not violate any agreement or obligation by which it is bound.

10. Governing Law

This Consent shall be governed by and construed in accordance with the laws governing the substantive rights of the parties as set forth in the agreement under which this Consent is given, without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of competent courts for disputes arising hereunder.

11. Entire Agreement

This Consent constitutes the entire agreement between the parties with respect to the subject matter contained herein and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written, relating to electronic records and signatures.

12. Severability

If any provision of this Consent is found to be invalid, illegal or unenforceable in any respect, such invalidity, illegality or unenforceability will not affect any other provision hereof, and this Consent will be construed as if such invalid, illegal or unenforceable provision had never been contained herein.

13. Amendments; Waiver

No amendment to this Consent will be effective unless in writing and executed by both parties. The failure of either party to enforce any provision of this Consent will not constitute a waiver of that or any other provision.

14. Counterparts and Electronic Transmission

This Consent may be executed in counterparts and by electronic signature, each of which will be deemed an original and all of which together constitute one and the same instrument. Transmission of an executed signature page by electronic means shall be sufficient to bind the signing party.

15. Acknowledgment

By signing below, each party acknowledges that it has read this Consent, understands its terms, and agrees that electronic signatures and records authorized herein will be valid, enforceable and have the same effect as handwritten signatures and paper records.
