LEGAL CONSENT FOR DELIVERY

This Legal Consent for Delivery (the "Agreement") is entered into as of by and between: Consignor Name: (hereinafter "Consignor"), and Consignee Name: (hereinafter "Consignee"). Collectively, Consignor and Consignee are referred to as the "Parties."

RECITALS

WHEREAS, Consignor has arranged for the transportation of goods described as (the "Goods") to be delivered to the Delivery Location; and

WHEREAS, Consignee desires to authorize release of the Goods upon delivery to an Authorized Recipient and to provide the Carrier with consent and instructions for acceptance and proof of delivery; and

WHEREAS, the Parties wish to set forth their respective consents, authorizations and allocations of risk relating to the delivery, receipt, and acceptance of the Goods.

NOW, THEREFORE, in consideration of the mutual promises contained herein, the Parties agree as follows:

1. DEFINITIONS

For purposes of this Agreement: "Carrier" means the transportation provider and its agents, employees and subcontractors responsible for delivering the Goods; "Delivery Location" means the address designated for delivery: ; and "Authorized Recipient" means the person or entity authorized to accept and sign for the Goods on behalf of Consignee.

2. CONSENT AND AUTHORIZATION

Consignor and Consignee hereby jointly and severally authorize Carrier to deliver the Goods to the Delivery Location and to release possession of the Goods to the Authorized Recipient named below: . Such release shall be effective upon Carrier obtaining a signature, electronic acknowledgment, or other proof of delivery acceptable to Carrier and consistent with Carrier's operating procedures.

3. DELIVERY INSTRUCTIONS; ID AND AUTHENTICATION

Carrier is authorized to rely on photographic, electronic or physical identification presented by the Authorized Recipient. The Parties acknowledge that Carrier may accept delivery authorization in the form of a signed receipt, electronic signature, photographic confirmation, or any other documentary evidence of delivery. Carrier's obligations to verify identity are limited to reasonable measures and do not extend to investigation beyond presented credentials or instructions.

4. PROOF OF DELIVERY; ACCEPTANCE

The Parties agree that proof of delivery executed by the Authorized Recipient shall constitute prima facie evidence of delivery and receipt of the Goods. Acceptance by the Authorized Recipient shall be deemed acceptance by Consignee unless Consignee notifies Carrier in writing within calendar days of discovery of damage, shortage or nonconformity and provides documented evidence supporting the claim.

5. LIMITATION OF LIABILITY; INDEMNITY

Except for loss or damage resulting from Carrier's gross negligence or willful misconduct, Consignor and Consignee jointly and severally release Carrier from any liability for loss, theft, misdelivery or damage to the Goods occurring after Carrier's lawful delivery and release to the Authorized Recipient. Consignor and Consignee shall indemnify, defend and hold harmless Carrier from and against any and all claims, losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of Carrier's release of Goods in accordance with this Agreement, including claims asserted by any third party.

6. INSURANCE

Each Party represents that it maintains insurance coverage sufficient to cover its obligations and liabilities under this Agreement. Consignor and Consignee shall maintain, at their own expense, insurance coverages customary for their operations and shall provide policy details upon reasonable request:

7. COMPLIANCE WITH LAW

The Parties agree to comply with all applicable federal, state, and local laws, regulations and ordinances relating to transportation, handling and receipt of the Goods. Nothing in this Agreement authorizes any unlawful act or the circumvention of applicable regulatory requirements.

8. TERM AND TERMINATION

This Agreement shall remain in effect with respect to each shipment of Goods from the time the Goods are placed into Carrier's possession until Carrier's lawful delivery and release at the Delivery Location. Either Party may terminate this Agreement upon written notice to the other Party; termination shall not affect obligations or liabilities that have accrued prior to termination.

9. NOTICES

Any notice required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below by personal delivery, certified mail (return receipt requested), or nationally recognized overnight courier. Notices are effective upon receipt.

10. AMENDMENTS; WAIVER; COUNTERPARTS

No modification, amendment or waiver of any provision of this Agreement shall be effective unless in writing and signed by both Parties. The waiver by either Party of a breach of any provision shall not operate or be construed as a waiver of any subsequent breach. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.

11. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified by the Parties below. This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior negotiations, representations or agreements, whether written or oral. If any provision of this Agreement is held invalid or unenforceable, such invalidity or unenforceability shall not affect the remaining provisions, which shall remain in full force and effect.

12. ADDITIONAL ACKNOWLEDGMENTS

Consignor and Consignee acknowledge that they have read and understand the terms of this Agreement, that they have authority to enter into this Agreement and to bind the entities identified, and that they consent to Carrier relying upon this written authorization to effect delivery and release of the Goods.
