4. HARDWARE AND SOFTWARE REQUIREMENTS

Recipient acknowledges that if Recipient changes hardware or software such that Recipient can no longer access Documents electronically, Recipient must follow the notice procedures set forth in Section 6 to withdraw consent or update delivery preferences.

5. WITHDRAWAL OF CONSENT; EFFECT OF WITHDRAWAL

Recipient may withdraw this Consent at any time by providing written notice to Company at the address or email specified in the Notices section below. Withdrawal of consent is effective upon Company’s receipt of the notice and reasonable time to process it. Withdrawal of consent will not affect the legal validity of Documents delivered electronically prior to Company’s receipt of the withdrawal.

Any notice required or permitted under this Consent shall be in writing and delivered electronically to the designated email addresses or by mail to the physical addresses below. Notice is effective when received by the recipient party.

7. ACKNOWLEDGMENT AND CERTIFICATION

By signing below, Recipient certifies that Recipient has read and understands this Consent, that Recipient is authorized to provide the chosen electronic contact information, that Recipient has the ability to access and retain electronic Documents in the formats provided, and that Recipient’s electronic signature is intended to authenticate this Consent and has the same legal force and effect as a handwritten signature.

8. LIMITATIONS; EXCEPTIONS

Notwithstanding the foregoing, Company may elect or be required by law to deliver certain Documents in paper form. Delivery of such Documents in paper form shall not void any prior electronic delivery where electronic delivery is permitted. Neither Party will be liable for failures of third-party internet services or interruptions of service beyond that Party’s reasonable control.

9. AMENDMENT; WAIVER; COUNTERPARTS

This Consent may be amended only by a written agreement signed by both Parties. No waiver of any provision of this Consent is effective unless in writing and signed by the Party against whom the waiver is asserted. This Consent may be executed in counterparts, each of which constitutes an original, and all counterparts together constitute one instrument.

10. GOVERNING LAW; SEVERABILITY; ENTIRE AGREEMENT

This Consent shall be governed by and construed in accordance with the laws of the jurisdiction agreed by the Parties below. If any provision of this Consent is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
