LEGAL CONSENT FORM

This Legal Consent Form (the "Agreement") is made and entered into as of Effective Date: by and between Client Name: (the "Consentor") and Recipient Name: (the "Recipient").

RECITALS

WHEREAS, the Consentor possesses certain personal data, materials, images, recordings, or other information described below that the Consentor is willing to permit the Recipient to use, reproduce, disclose, or otherwise process under the terms set forth herein; and

WHEREAS, the Recipient requires the Consentor's consent for the specific purposes described in this Agreement and represents that such use will be for legitimate business, research, or administrative purposes as set forth below; and

WHEREAS, the parties wish to memorialize the Consentor's informed consent, the scope of permitted uses, and the procedures for revocation, notice, and dispute resolution.

NOW THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. GRANT OF CONSENT

1.1 Consent. The Consentor hereby grants to the Recipient a limited, non-exclusive, revocable right to collect, access, use, reproduce, disclose, display, modify, store and otherwise process the personal data, materials, images, audio/video recordings, or other information described in Section 1.2 (collectively, the "Materials") solely for the Permitted Purpose described below and subject to the limitations and conditions of this Agreement.

2.1 Effective Term. This consent is effective as of the Effective Date and, unless earlier revoked in accordance with Section 2.2, will continue until Termination Date: .

2.2 Revocation. The Consentor may revoke this consent at any time by providing written notice of revocation to the Recipient in the manner provided in Section 7 (Notices). Revocation shall not apply retroactively to actions taken by the Recipient prior to its receipt of a valid revocation notice if such actions were in reliance on this consent.

3. REPRESENTATIONS AND WARRANTIES

3.1 Consentor Representations. The Consentor represents and warrants that: (a) the Consentor is the lawful owner or authorized controller of the Materials; (b) the Consentor has full authority to grant the rights set forth in this Agreement; and (c) the exercise of rights granted hereunder will not violate the rights of any third party.

3.2 Recipient Warranties. The Recipient warrants that it will use the Materials only as expressly permitted by this Agreement and will implement and maintain reasonable administrative, technical, and physical safeguards to protect the confidentiality and security of the Materials.

4. CONFIDENTIALITY AND DATA PROTECTION

4.1 Confidential Treatment. The Recipient shall treat Materials that are reasonably identified as confidential with at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care. The Recipient will not disclose confidential Materials to any third party except to its employees, contractors, or agents who have a need to know and are bound by confidentiality obligations at least as protective as those in this Agreement.

4.2 Applicable Law. The Recipient shall comply with all applicable data protection, privacy, and consumer protection laws in connection with its processing of the Materials.

5. INDEMNIFICATION; LIMITATION OF LIABILITY

5.1 Indemnification. The Recipient shall defend, indemnify and hold harmless the Consentor from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of or relating to the Recipient's breach of this Agreement, the Recipient's negligent or willful misconduct in using the Materials, or any unauthorized disclosure of the Materials.

5.2 Limitation of Liability. EXCEPT FOR LIABILITY ARISING FROM GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR THE RECIPIENT'S BREACH OF ITS CONFIDENTIALITY OBLIGATIONS, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES.

6. TRANSFERS AND ASSIGNMENT

6.1 Assignment. Neither party may assign or delegate its rights or obligations under this Agreement without the prior written consent of the other party, except that the Recipient may assign to an affiliate or successor in connection with a merger, acquisition or sale of substantially all of its assets provided that the assignee agrees in writing to be bound by the terms of this Agreement.

7.1 Any notice required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below. Notices shall be effective upon receipt when delivered personally, by certified mail (return receipt requested), or by nationally recognized overnight courier.

8. GOVERNING LAW; DISPUTE RESOLUTION

8.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles.

8.2 Dispute Resolution. The parties agree to attempt in good faith to resolve any dispute arising out of this Agreement through negotiation. If negotiation fails, the parties may pursue any remedy available at law or equity in the courts having jurisdiction in the state specified above.

9. MISCELLANEOUS

9.1 Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral.

9.2 Amendments; Waiver. No amendment, modification or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties. The failure of either party to enforce any right or provision shall not constitute a waiver of such right or provision.

9.3 Severability. If any provision of this Agreement is held to be invalid, illegal or unenforceable, the remaining provisions shall continue in full force and effect to the fullest extent permitted by law.

9.4 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.

The Consentor acknowledges that: (a) the Consentor has read and understands this Agreement; (b) the Consentor has had the opportunity to ask questions and to obtain independent advice; and (c) the Consentor's consent is voluntary and may be revoked as set forth in Section 2.
