4.2 Recipient represents and warrants that it will act in good faith, will comply with the terms of this Consent, and will not use or disclose the Subject except as permitted herein.

5. INDEMNIFICATION

Recipient shall indemnify, defend and hold harmless Consenting Party and its officers, directors, employees and agents from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of or in connection with Recipient's breach of this Consent, its misuse of the Subject, or any unauthorized disclosure.

6. CONFIDENTIALITY

To the extent any portion of the Subject constitutes Confidential Information, Recipient shall treat such information as confidential and shall not disclose it except as permitted by this Consent or as required by law, provided Recipient gives prompt written notice to Consenting Party of any compelled disclosure and reasonably cooperates with Consenting Party in any attempt to obtain protective measures.

7. NOTICES

All notices, requests, consents and other communications hereunder shall be in writing and shall be deemed given when delivered by hand, by nationally recognized overnight courier service, or three (3) days after deposit in the U.S. mail, postage prepaid, to the addresses set forth above or such other address as a party may designate by written notice.

8. MISCELLANEOUS

Governing Law. This Consent shall be governed by and construed in accordance with the laws of the state of , without regard to conflict of laws principles.

Entire Agreement. This Consent constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals or understandings, whether written or oral, relating to such subject matter.
